INDEPENDENT SERVICE CONTRACT

This Independent Service Contract (the "Contract") is entered into on Effective Date: by and between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client requires certain professional services in the area of services described below and desires to engage Contractor to perform such services on the terms and subject to the conditions set forth in this Contract; and

WHEREAS, Contractor represents that Contractor has the experience, skills, personnel and resources necessary to perform the services and will perform them as an independent contractor, and not as an employee of Client.

WHEREAS, the parties desire to set forth in writing the terms and conditions under which Contractor will provide the services to Client.

SCOPE OF WORK

Contractor shall provide the services, deliverables, milestones and acceptance criteria described below. Contractor shall perform the services in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Contractor in accordance with the following schedule and terms. Payments will be made in United States dollars unless otherwise agreed in writing.

TERM AND TERMINATION

The term of this Contract begins on Start Date: and will continue until End Date: unless earlier terminated as provided herein.

Termination for Cause: Either party may terminate immediately for material breach of this Contract that is not cured within a reasonable cure period of not less than the notice period specified above. Termination shall not relieve Client of its obligation to pay for services performed and accepted prior to the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Contractor shall not disclose, use or permit the use of Confidential Information except as necessary to perform the services. Contractor shall take commercially reasonable measures to protect Confidential Information and shall return or destroy all Confidential Information upon termination. Confidentiality obligations survive termination for a period of three (3) years, unless a longer period is required by law.

INDEPENDENT CONTRACTOR STATUS

Contractor is an independent contractor and not an employee, partner or agent of Client. Contractor is solely responsible for all taxes, withholdings, insurance and benefits relating to Contractor's personnel. Contractor has no authority to bind Client except as expressly provided in this Contract.

INTELLECTUAL PROPERTY; LICENSES

Unless otherwise agreed in writing, all original work product delivered to Client under this Contract and created specifically for Client shall be deemed "Work Product" and assigned to Client upon full payment. Contractor shall retain ownership of Contractor's pre-existing materials, tools and methodologies. Contractor grants Client a perpetual, worldwide, royalty-free license to any Contractor pre-existing materials incorporated into the Work Product to the extent necessary for Client's use.

INDEMNIFICATION AND INSURANCE

Contractor shall indemnify and hold harmless Client from and against third-party claims arising out of Contractor's breach of this Contract, negligence, or willful misconduct. Contractor shall maintain, at Contractor's expense, commercially reasonable liability insurance and, upon request, provide evidence of insurance to Client.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct, gross negligence, or Contractor's indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The aggregate liability of each party for any claim arising under this Contract will not exceed the total amount paid by Client to Contractor under this Contract in the twelve (12) months preceding the claim.

GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the Jurisdiction: without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Contract, together with any attachments or written statements of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

The parties agree that any notice required or permitted under this Contract will be in writing and sent to the addresses set forth above. If any provision of this Contract is held invalid or unenforceable, the remainder of the Contract shall remain in full force and effect.
