What the Indirect Business Services Agreement Is

An Indirect Business Services Agreement is a contract that defines the terms under which one party provides services indirectly through intermediaries or subcontractors rather than directly to the client. It clarifies roles, scope of work, payment and billing paths, data handling, confidentiality, and liability allocation when services are delivered via third-party vendors, affiliates, or resellers. These agreements commonly appear in supply chain, managed services, reseller, and channel partner arrangements and are used to document responsibilities when the primary contractor delegates work.

Why this Agreement Matters for Risk and Clarity

A clear Indirect Business Services Agreement reduces dispute risk by documenting responsibilities, limits of liability, data handling rules, and payment flows between contracting parties and intermediaries.

Why this Agreement Matters for Risk and Clarity

Who Commonly Prepares or Signs This Agreement

The agreement is used by legal, procurement, and operations teams that manage outsourced or channel-delivered services.

  • Channel managers and resellers responsible for contracting with end customers and coordinating third-party vendors.
  • Service providers and prime contractors who engage subcontractors or affiliates to fulfill obligations.
  • Legal and procurement teams tasked with risk allocation, compliance, and payment terms across parties.

Each signer should confirm they have authority to bind their organization before execution.

Core Clauses to Include in an Indirect Business Services Agreement

A professional agreement groups operational and legal provisions so each party understands obligations, limits, and remedies when services flow through intermediaries.

Scope of Services

Define specific services, deliverables, service levels, and which party (prime or intermediary) performs each task.

Payment and Billing

Describe invoicing paths, who invoices the client, payment timing, pass-through costs, and handling of disputes or credits.

Data Handling

Allocate responsibilities for data security, storage, processing, and breach notification, including any required addenda for regulated data.

Liability and Indemnity

Set limits on damages, insurance requirements, and indemnities tied to intermediary performance or third-party claims.

Subcontractor Controls

Require flow-down terms, approval rights, and vendor qualification standards for any subcontractors used to deliver services.

Termination and Transition

Specify notice periods, transition assistance, data return/destruction, and obligations on termination or nonrenewal.

Step-by-Step: How to Complete the Agreement

Follow these steps to assemble, review, and execute the Indirect Business Services Agreement with minimal rework.

  • 01
Prepare Draft: Populate parties, effective date, and scope using templates and exhibits.
  • 02
Assign Responsibilities: Clarify which party manages subcontractors and which roles they perform.
  • 03
Add Compliance Terms: Include data, privacy, and regulatory obligations for the services provided.
  • 04
Execute and Archive: Obtain signatures, record execution dates, and store the signed agreement in a secure repository.

Process Flow: Typical Execution and Distribution

A common workflow routes the draft through internal review, external counsel, counterparty review, signature, and distribution.

  • Drafting: Originator creates initial agreement and selects required exhibits.
  • Internal Review: Legal, procurement, and finance review terms and exposure.
  • Counterparty Review: Send redline, negotiate edits, and agree on final language.
  • Execution: All authorized signers sign and copies are circulated to stakeholders.

Configuring an Online Signing Workflow for This Agreement

Set up these workflow elements to ensure correct routing, authentication, and recordkeeping for executed agreements.

Field Configuration
Authentication Use email link or SMS code for signer identity; stronger methods for regulated data.
Conditional Fields Show or hide clauses based on answers (e.g., payment type, subcontractor use).
Templates Create reusable template with required exhibits and approval routing.
Audit Trail Enable full audit logs capturing IP, timestamps, and signer actions.

eSigning and Integration Considerations

Choose a signing platform that supports secure authentication, comprehensive audit trails, and integrations with your document management systems.

  • Document Formats: PDF, DOCX supported; signed PDF/A output recommended for record retention.
  • Integrations: Connectors for CRM/ERP (Salesforce, NetSuite), cloud storage (Box, Google Drive), and collaboration tools.
  • Security Controls: TLS encryption in transit and AES-256 at rest; role-based access and strong admin controls.

Ensure the chosen platform can produce an unalterable certificate of completion and meets any industry compliance requirements for the agreement.
