TERMINATION & KILL FEE

Either party may terminate this Agreement as set forth below. Termination does not waive rights that accrued prior to termination.

REPRESENTATIONS, WARRANTIES & INDEMNIFICATION

Each party represents and warrants that it has the right and authority to enter into this Agreement. Creator further represents that content will not infringe third-party rights. Creator shall indemnify and hold Brand harmless from claims arising out of Creator's breach, negligence, or infringement.

CONFIDENTIALITY

Confidential Information disclosed in connection with this Agreement shall be used only for performance and shall not be disclosed except as required by law. Confidential obligations survive termination for a period of two (2) years unless otherwise agreed in writing.

REPORTING & METRICS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior agreements. Amendments must be in writing and signed by both parties. Assignment is prohibited without prior written consent.
