FTC Disclosure Compliance

Influencer represents and warrants that all sponsored content will include a clear, conspicuous, and unambiguous disclosure of Brand's sponsorship consistent with applicable advertising laws and platform policies. Influencer will not make false or misleading claims regarding Brand or Brand's products.

Termination; Kill Fee

Either party may terminate for material breach if the breaching party fails to cure within days after written notice. Brand may terminate without cause upon days' notice, subject to payment of the kill fee below.

Intellectual Property; Ownership

Unless otherwise agreed in writing, Influencer retains ownership of pre-existing materials and the underlying raw creative rights. Brand receives the license defined above for the final Deliverables upon full payment.

Representations, Warranties & Indemnification

Each party represents and warrants it has full authority to enter into this Agreement. Influencer warrants that Deliverables will not infringe third-party rights and will comply with applicable law. Each party shall indemnify the other for breaches of these representations and for third-party claims arising from its negligence or willful misconduct.

Taxes; Insurance

Influencer is responsible for all taxes, contributions, and insurance of any kind related to the compensation paid under this Agreement. Brand will not withhold taxes unless required by law.
