What the Infrastructure Purchase Agreement Is and When It Applies

The Infrastructure Purchase Agreement is a legally binding contract used when one party acquires infrastructure assets, systems, or completed capital projects from another party. It sets the purchase price, describes delivered assets or work, allocates risk, and specifies delivery, testing, and acceptance criteria. The agreement also addresses transfer of title, lien releases, warranties, insurance requirements, payment milestones, escrow or holdback arrangements, and dispute resolution procedures. Exhibits typically include technical specifications, schedules, and a list of deliverables to reduce ambiguity and support closing.

Why a Clear Infrastructure Purchase Agreement Matters

A complete, well-structured Infrastructure Purchase Agreement reduces closing risk, limits post-closing disputes, clarifies transfer of title and liabilities, and ties payments to verifiable acceptance criteria.

Why a Clear Infrastructure Purchase Agreement Matters

Who Prepares and Uses This Agreement

Typical teams who prepare or rely on an Infrastructure Purchase Agreement include procurement, legal, project management, and facilities or operations groups.

  • Procurement and sourcing teams — drive vendor selection, pricing, and milestone-based payments for asset acquisition.
  • Legal and contracts teams — draft terms, allocate risk, and prepare exhibits for title transfer and indemnities.
  • Project managers and engineers — validate technical deliverables, acceptance testing, and defect remediation timelines.

Multiple stakeholders must coordinate exhibits, signatory authority, and acceptance tests to ensure enforceability and timely project handover.

Representative Signers and Their Roles

Procurement Manager

A procurement manager negotiates commercial terms, defines payment milestones, and coordinates vendor deliverables. They ensure invoice schedules align with acceptance testing and that purchase orders and the agreement are consistent before execution.

Company Executive

An authorized executive or officer signs on behalf of the buyer or seller and must provide evidence of authority (board resolution or corporate certificate) when requested to validate the signature for title transfer.

Core Sections to Include in the Agreement

A professional Infrastructure Purchase Agreement should contain clear, enforceable provisions that allocate risk, document deliverables, and protect both parties throughout procurement and handover.

Scope

Detailed description of assets, drawings, site locations, serial numbers, and acceptance criteria so parties understand exactly what is being transferred.

Price & Payment

Total purchase price, payment schedule, escrow or holdback terms, invoicing procedures, and conditions for release of funds tied to acceptance.

Delivery & Acceptance

Delivery milestones, testing protocols, remedy periods for defects, and formal acceptance certificates or sign-offs that trigger payment.

Title & Liens

Mechanism for transferring title, seller representations about liens or encumbrances, and seller obligations to deliver lien waivers or UCC terminations.

Warranties

Warranty scope, duration, remedies for breach, and allocation of warranty-related costs including repair, replacement, or credit.

Indemnity & Insurance

Mutual indemnities, limits of liability, required insurance types and limits, and conditions that govern claims handling.

Step-by-Step: Complete and Execute the Agreement

Follow these sequential steps to complete and execute an Infrastructure Purchase Agreement and minimize closing delays.

  • 01
Upload document: Upload final PDF or DOCX with all exhibits attached.
  • 02
Place fields: Insert signature, date, and initial fields for every required party.
  • 03
Add signers: Assign signer emails, roles, and signing order where applicable.
  • 04
Send for signature: Use secure eSignature and request authentication if needed.

Typical Digital Workflow Settings

Configure the digital workflow to match approval order, authentication needs, and post-signature storage for the Infrastructure Purchase Agreement.

Field Configuration

Signer authentication Email link or SMS code; use stronger KBA for high-risk transactions.
Conditional fields Show price adjustments or retention fields only when applicable.
Finalize and archive Enable automatic PDF generation and store in contract repository.

Delivery and Integration Requirements for eSubmission

Choose a platform that supports required authentication, audit trails, and your integration needs for contract lifecycle management.

  • Integrations: Salesforce, NetSuite, Google Workspace, Box, Procore supported.
  • File formats: PDF and DOCX native support with audit reports.
  • API access: REST API for automated routing and storage.

Ensure the chosen platform supports HIPAA or 21 CFR Part 11 if your transaction involves protected health information or FDA-regulated records, and that it provides long-term archival exports.

How Electronic Execution Typically Works

A concise overview of the digital signing flow for Infrastructure Purchase Agreements.

  • Prepare: Compile agreement and attachments into a single package.
  • Place fields: Set signature, initial, and date locations for each signer.
  • Authenticate: Signers confirm identity via email or stronger methods.
  • Complete: Signed copies and audit trail are generated automatically.

Key Dates and Processing Expectations

Track contract milestones and administrative deadlines to avoid penalties, late payments, or recording issues.

Execution date:

Date when parties have signed and obligations begin.

Payment milestones:

Dates tied to acceptance tests or completion of deliverables.

Delivery deadlines:

Scheduled handover dates for assets or project phases.

Major Milestones from Negotiation Through Handover

Sequential milestones highlight the typical lifecycle of an Infrastructure Purchase Agreement and responsibilities at each stage.

Negotiation and Drafting

Finalize scope, price, and schedules prior to executing.

02

Internal Approvals

Obtain procurement and legal sign-off before sending to counterparty.

03

Execution and Recording

Sign, notarize if required, and record documents as applicable.

04

Handover and Warranty Start

Practical Tips for Accurate Completion

Adopt these practices to reduce risk and speed up closing for infrastructure purchases.

Attach complete exhibits
Include technical drawings, asset lists, lien waivers, and test protocols to prevent disputes over scope.
Link payment to acceptance
Make milestone payments conditional on documented acceptance to align incentives and reduce claims.
Verify signatory authority
Obtain corporate certificates or resolutions for organizational signers to ensure enforceability of transfer documents.
Use clear title language
Require seller representations and deliver lien releases to confirm clear transfer of ownership.

Common Mistakes That Cause Delays

  • Vague asset descriptions that omit serial numbers or site coordinates cause disagreements about what was sold and may delay acceptance testing and payment.
  • Missing or inconsistent exhibits—technical specs, drawings, or acceptance forms—lead to interpretation disputes and can trigger change orders or litigation.
  • Incorrect signatory authority where a signer lacks corporate power can void transfers of title or require re-execution with proof of authority.
  • Failure to tie payments to acceptance or escrow provisions increases the risk of non-payment or prolonged disputes over deliverables.

Legal and Financial Risks of Errors

Contract damages: Monetary awards for breach, including consequential damages.
Liens and encumbrances: Unreleased liens can cloud title and prevent recording.
Delayed project costs: Extended timelines increase carry costs and liquidated damages.
Regulatory exposure: Noncompliance can trigger fines or corrective orders.
Tax reporting: Incorrect treatment can lead to IRS penalties or withholding.
Enforceability risk: Defective signatures or authority can render conveyances voidable.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit
Data at rest: AES-256 encrypted storage
Certifications: SOC 2 Type II and ISO 27001
HIPAA BAA: Available where required
eSignature law: ESIGN and UETA compliant
Accessibility: WCAG 2.0 Level AA support
