Either party may terminate this engagement for convenience upon written notice to the other party provided at least days prior to the effective date of termination. Termination for material breach may be immediate if the breaching party fails to cure within a commercially reasonable period after written notice.

Confidentiality

Each party agrees to hold confidential all non-public information disclosed by the other party in connection with the meeting and engagement. Confidential information does not include information that is or becomes publicly available through no breach of this Agreement, independently developed without use of the other party's confidential information, or lawfully received from a third party. Each party will use confidential information solely for the purposes of the engagement and will not disclose such information except to employees, contractors or advisors who have a legitimate need to know and who are bound by obligations of confidentiality no less restrictive than those in this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This document, including its recitals and any attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
