Tenant's failure to pay rent when due or to perform any material covenant constitutes a default. Upon default, Landlord may pursue all remedies available at law or in equity, including termination of tenancy, recovery of possession, recovery of unpaid rent, and recovery of damages, costs and attorneys' fees as permitted by law.

Tenant shall have any cure periods required by applicable law. If Tenant fails to cure within applicable periods, Landlord may exercise remedies without waiver of other rights.

NOTICES

GOVERNING LAW & ENTIRE AGREEMENT

This Agreement shall be governed by the laws of the state in which the Premises are located. Any action to enforce this Agreement shall be brought in the appropriate court located in the county where the Premises are located.

This Agreement, including any attachments and written amendments executed by the parties, constitutes the entire agreement between Landlord and Tenant. No oral statements or prior agreements shall have any force or effect.

MISCELLANEOUS PROVISIONS

Subletting and assignment are prohibited except with prior written consent of Landlord. Any consent by Landlord shall not be construed as a waiver of Landlord's right to require consent for future assignments or subletting.

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.
