This Inspection Copy Document (the "Agreement") is made and entered into as of the Effective Date set forth below by and between:

WHEREAS, Client requires an inspection copy of certain materials, documents, samples, or electronic files (collectively, the "Inspection Materials") for the purpose of review, evaluation, or quality verification prior to final procurement or distribution; and

WHEREAS, Provider is willing to furnish an inspection copy on the terms set forth herein, subject to the restrictions and protections of confidentiality and return of materials described below; and

WHEREAS, the parties desire to record their agreement regarding the scope, timing, payment, and handling of the Inspection Materials.

Scope of Work

Provider shall deliver an inspection copy and perform inspection-related services as described below. The inspection shall be limited to the activities expressly set out in this section.

Payment Terms

Client shall pay Provider for the inspection copy and related services as follows. Fees specified below are exclusive of applicable taxes unless otherwise stated.

All payments shall be made in lawful currency and in accordance with the invoice instructions provided by Provider. In the event Client fails to pay any undisputed amount within the agreed payment period, Provider may suspend delivery of Inspection Materials until payment is made.

Term and Termination

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for days after written notice. Termination shall be without prejudice to rights and obligations accrued prior to termination.

Confidentiality

The parties acknowledge that the Inspection Materials and any information exchanged in connection with the inspection are confidential. Each receiving party shall (a) use such information solely for the review and evaluation purposes contemplated by this Agreement; (b) restrict disclosure to employees, contractors, or agents with a need to know who are bound by comparable confidentiality obligations; and (c) return or destroy Inspection Materials upon Provider's written request or upon termination of this Agreement, except for one archival copy kept solely for legal compliance.

Confidentiality obligations shall not apply to information that: (i) is or becomes publicly known through no breach by the receiving party; (ii) is rightfully received from a third party without restriction; (iii) was known to the receiving party prior to disclosure; or (iv) is required to be disclosed by law or court order, provided the receiving party gives prompt written notice of such requirement where legally permissible.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of: without regard to conflict of laws principles. The parties shall first attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior executives. If negotiation fails, the dispute shall be submitted to mediation prior to initiating litigation, unless a party seeks injunctive relief.

Entire Agreement; Amendments

This Agreement (including all schedules and attachments) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, representations, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Indemnification and Limitation of Liability

Each party agrees to indemnify, defend, and hold harmless the other party from and against third-party claims arising from that party's negligent acts or willful misconduct in connection with this Agreement. EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

Delivery and Return of Inspection Materials

Provider will deliver the Inspection Materials by the agreed method. Client shall not reproduce, distribute, or otherwise make available the Inspection Materials except as required for internal evaluation and subject to the confidentiality obligations herein. Upon request or upon expiration or termination of this Agreement, Client shall return or certify destruction of all Inspection Materials.
