INSPECTION SERVICES AGREEMENT

This Inspection Services Agreement (the Agreement) is entered into by and between Client Name: and Inspector Name: .

RECITALS

WHEREAS, Client requires professional inspection services for the property or asset described in this Agreement; and

WHEREAS, Inspector represents that it possesses the necessary qualifications, licenses, personnel and equipment to perform the inspection services in a competent and professional manner; and

WHEREAS, Client and Inspector desire to set forth the terms and conditions under which Inspector will perform inspection services and deliver an inspection report to Client.

DELIVERABLES AND REPORTING

Inspector shall prepare and deliver a written inspection report summarizing findings, observations, and recommendations. The report shall be delivered to Client within calendar days after completion of the on-site inspection, unless otherwise agreed in writing.

PAYMENT TERMS

Late payment shall accrue interest at the lesser of 1.5% per month or the maximum amount permitted by law and Client shall be responsible for collection costs and reasonable attorneys' fees associated with recovery of overdue amounts.

Expenses: Reimbursable travel, third-party testing, permit, or specialty service fees are billable in addition to the inspection fee. If reimbursable, standard expense documentation will be provided.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and, unless earlier terminated, terminates on End Date: or upon delivery and acceptance of the final inspection report.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination. Termination for cause is permitted if a party materially breaches a provision and fails to cure within 14 days after written notice.

CONFIDENTIALITY

Both parties shall hold in confidence non-public information disclosed in connection with this Agreement. Inspector shall not disclose Client confidential information except as required to perform the inspection or as required by law. Confidential information shall not include information that is publicly known, rightfully received from a third party, independently developed, or required to be disclosed pursuant to legal process; provided that the disclosing party shall use reasonable efforts to limit the scope of any compelled disclosure.

INSURANCE, LIABILITY AND INDEMNIFICATION

Inspector shall maintain commercial general liability insurance and professional liability/errors-and-omissions insurance in amounts sufficient for similar services in the industry, with minimum limits of: . Inspector shall provide certificates of insurance upon request.

Limitation of Liability: Except for damages resulting from gross negligence or willful misconduct, each party's aggregate liability arising out of or relating to this Agreement shall not exceed the total fees paid to Inspector under this Agreement.

Indemnification: Each party shall indemnify, defend, and hold harmless the other party from claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement or its negligent or willful acts or omissions in performance of the services.

Inspector shall perform services in accordance with applicable laws, regulations, professional standards and customary industry practices. Inspector does not warrant future conditions or guarantee results beyond the inspection observations noted in the written report.

GOVERNING LAW

ENTIRE AGREEMENT

This Agreement, including any attachments and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification must be in writing signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Inspector may engage subcontractors provided Inspector remains responsible for performance.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
