Confidentiality

Inspector and Client each agree that information disclosed in connection with the inspection and set forth in the Inspection Report that is identified as confidential or reasonably should be understood to be confidential shall be held in strict confidence and shall not be disclosed except (i) to employees, agents or advisors with a need to know, (ii) as required by law, or (iii) with the prior written consent of the disclosing party. Confidential information excludes information that is or becomes publicly known through no fault of the receiving party.

Liability, Governing Law & Entire Agreement

Inspector shall perform services with the degree of skill and care exercised by recognized professional inspectors performing similar services. Inspector's liability for any claim arising out of or relating to this Agreement shall be limited to direct damages and, in no event, exceed the total fees paid for the services giving rise to the claim. Neither party shall be liable for incidental, consequential, punitive, or special damages.

This Agreement and the Inspection Report shall be governed by the laws of the jurisdiction in which the Site is located. Any dispute arising out of this Agreement shall be resolved in the courts of that jurisdiction. This Agreement, including schedules and the Inspection Report when finalized, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral.
