Installation Legal Terms and Conditions

This Installation Legal Terms and Conditions (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: , Client Address: (hereinafter "Client"), and Installer Name: , Installer Address: (hereinafter "Installer").

RECITALS

WHEREAS, Client desires that Installer perform certain installation and related services described herein and in the Scope of Work; and

WHEREAS, Installer represents that it has the experience, personnel, tools and licenses necessary to perform such installation work in a professional manner; and

WHEREAS, the parties wish to set forth the terms and conditions governing the performance of the installation, payment, risk allocation, warranties and remedies.

NOW, THEREFORE

In consideration of the mutual covenants and promises herein contained, the parties agree as follows:

1. DEFINITIONS

1.1 "Work" means the installation services, equipment and materials described in the Scope of Work and any Change Orders. "Contract Price" means the total consideration payable under this Agreement.

2. SCOPE OF WORK

2.1 Installer shall furnish all labor, materials, equipment, tools and supervision necessary to perform the Work in accordance with the specifications set forth in the Scope of Work and any attachments. Installer shall perform the Work in a professional and workmanlike manner consistent with industry standards.

3. SCHEDULE

3.1 Installer shall commence the Work on or about Commencement Date: and shall substantially complete the Work by Completion Date: , subject to adjustments for Change Orders and excusable delays.

4. CHANGE ORDERS

4.1 Any change in the Scope of Work, Contract Price, or Schedule shall be made only by written Change Order signed by both parties. Installer shall not be obligated to perform Work beyond the Scope of Work without an executed Change Order.

5. MATERIALS; TITLE; STORAGE

5.1 Installer shall procure materials meeting the specifications. Title to materials supplied by Installer shall pass to Client upon payment; installer shall bear risk of loss until delivery to the site unless otherwise agreed in writing.

6. CONTRACT PRICE AND PAYMENT

6.1 Client shall pay Installer the Contract Price in lawful currency as follows: Total Contract Price: $ . Unless otherwise stated, amounts are exclusive of applicable taxes.

6.2 Deposit: Client shall pay a deposit of $ prior to commencement. Final payment shall be due upon Substantial Completion and acceptance.

7. INSPECTION, ACCEPTANCE AND RETENTION

7.1 Client shall inspect the Work within days of notice of Substantial Completion. Acceptance is effective when Client provides written notice of acceptance or fails to timely object. Retention (if applicable) shall be $ , to be released in accordance with agreed terms.

8. WARRANTIES

8.1 Installer warrants that the Work will be free from defects in workmanship and materials under normal use for a period of months from the date of acceptance. This warranty does not cover damage resulting from misuse, acts of third parties, or ordinary wear and tear.

9. INSURANCE AND INDEMNITY

9.1 Installer shall maintain commercial general liability insurance and workers' compensation as required by law and shall provide certificates upon request. 9.2 To the fullest extent permitted by law, Installer shall indemnify and hold harmless Client from and against claims, liabilities, losses and expenses arising out of Installer's negligence or willful misconduct in connection with the Work.

10. LIMITATION OF LIABILITY

10.1 Except for liability arising from gross negligence, willful misconduct or breach of confidentiality, neither party shall be liable for incidental, consequential, special or punitive damages. The aggregate liability of each party arising out of this Agreement shall not exceed the Contract Price paid to Installer under this Agreement.

11. COMPLIANCE WITH LAWS; PERMITS

11.1 Installer shall comply with all applicable laws, codes and regulations in performing the Work. Responsibility for obtaining permits shall be: Installer Client

12. FORCE MAJEURE

12.1 Neither party shall be liable for delays or failures to perform due to causes beyond its reasonable control, including acts of God, strikes, labor disputes, governmental actions, pandemics, fire, flood, or shortages of materials. The excused party shall provide prompt notice and shall use commercially reasonable efforts to resume performance.

13. TERMINATION

13.1 Either party may terminate this Agreement for material breach if the other party fails to cure such breach within days after written notice. Upon termination, Client shall pay Installer for Work performed and materials purchased to date, less offsets for defects or breach.

14. CONFIDENTIALITY

14.1 Each party shall hold confidential and not disclose proprietary information of the other party unless required by law. Confidential information shall not include information that is publicly known or independently developed without use of the other's confidential information.

15. NOTICES

15.1 All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below (or such other addresses as the parties may designate in writing).

16. AMENDMENTS; WAIVER; COUNTERPARTS

16.1 This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be deemed an original.

17. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

17.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

17.2 Entire Agreement: This Agreement, including the Scope of Work and any Change Orders signed by the parties, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof.

17.3 Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. DISPUTE RESOLUTION

18.1 The parties shall attempt in good faith to resolve disputes arising out of or in connection with this Agreement by negotiation. If the parties cannot resolve a dispute within thirty (30) days, either party may seek relief in a court of competent jurisdiction in the state specified in Section 17.1.

18.2 Costs and Attorneys' Fees: In any action to enforce this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.
