What an Installation Performance Agreement Is and when it applies

An Installation Performance Agreement is a contract that sets the scope, schedule, quality standards, payment terms, and remedies for the installation of equipment, systems, or fixtures on a project. It allocates responsibilities between the installing contractor and the client, defines acceptance criteria and inspection procedures, and documents warranties, liquidated damages, and insurance requirements. Common uses include HVAC, electrical, solar, security systems, and tenant fit-outs where coordination, timeline certainty, and measurable performance milestones are critical to project completion and handover.

Why a clear Installation Performance Agreement matters

A precise agreement reduces disputes by documenting expectations for timing, testing, and acceptance; it protects both parties with defined remedies and clarifies payment milestones tied to measurable performance.

Why a clear Installation Performance Agreement matters

Typical users and signers of this agreement

Parties should ensure authorized signatories sign the document and that signatory authority is documented to avoid enforceability questions.

  • General Contractors and Subcontractors who must document scope, testing, and warranty obligations for installed systems.
  • Property Owners and Developers who need schedule assurances, acceptance criteria, and remedies for missed deadlines or deficient work.
  • Facility and Operations Managers responsible for commissioning, ongoing maintenance expectations, and handover documentation.

Core elements to include in a professional Installation Performance Agreement

A robust agreement spells out measurable deliverables, timelines, inspection and acceptance rules, payment and holdback mechanics, insurance and warranty terms, and dispute-resolution mechanisms to reduce ambiguity during installation and turnover.

Scope of Work

Detailed description of installed equipment, interfaces, and excluded tasks so responsibilities are unambiguous and testable.

Schedule & Milestones

Firm dates for mobilization, interim milestones, commissioning, and final acceptance with remedies for missed milestones.

Testing & Acceptance

Specified tests, performance thresholds, inspection procedures, and documentation required for owner acceptance.

Payment Terms

Progress payments, retainage or holdback, final payment conditions, and invoicing requirements.

Warranties & Corrections

Warranty period, corrective action obligations, response times, and responsibility for warranty costs.

Risk Allocation

Insurance requirements, indemnity language, liquidated damages, and limitations of liability.

Step-by-step: completing the agreement

Follow these steps in order to create a usable, enforceable Installation Performance Agreement.

  • 01
    1. Draft scope: Describe work, exclusions, and deliverables in measurable terms.
  • 02
    2. Set milestones: Assign dates and acceptance criteria to each milestone.
  • 03
    3. Define payments: Link payments to completed milestones and required documentation.
  • 04
    4. Sign and record: Ensure authorized signatures and save final executed copies for retention.

How to customize and complete the agreement online

Configure a digital workflow that mirrors contract milestones and evidence requirements so approvals and signatures follow the installation sequence.

Field Configuration
Milestone Date Field Set as required; format MM/DD/YYYY
Acceptance Checklist Use checkboxes for each test and deliverable
Proof Attachments Require photo or test report uploads before signer can complete
Signature Order Enforce sequential signing per role or milestone

Digital signing and eSubmission requirements

Use a platform that can export a tamper-evident signed PDF and retain a reproducible audit record for compliance and dispute resolution.

  • Authentication: Email link plus SMS or multi-factor where higher assurance is needed
  • Audit Trail: Capture IP, timestamp, and action history for each signer
  • Document Formats: Accept PDF and DOCX with attachments and embedded proofs

Where to file, send, or submit the executed agreement

After execution, distribute copies to stakeholders, upload to project controls, and retain in the contract repository so acceptance and warranty actions are traceable.

  • Owner / Client: Provide final signed PDF and acceptance checklist to the owner
  • Contractor File: Store executed copy, invoices, and test reports in project folder
  • Project Management: Upload to PM system (Procore, NetSuite, or CRM) for milestone tracking
  • Compliance Archive: Retain for audit, warranty, and insurance purposes
