NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, Client and Contractor agree as follows:

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Client may cancel a scheduled installation with written notice subject to Contractor's cancellation and restocking fees as set forth in the payment schedule.

CHANGES AND CHANGE ORDERS

Any changes to the Scope of Work requested by Client shall be documented in a written change order signed by both parties. Change orders shall describe the changed work, any adjustment to the Contract Price, and any change to the schedule. Contractor shall not be required to perform changed work until a change order is executed.

ACCEPTANCE, TESTING & WARRANTIES

Upon completion, Contractor shall conduct on-site testing and demonstrate to Client that the installation meets the acceptance criteria set forth in the Scope of Work. Unless otherwise specified in writing, Contractor warrants that its installation workmanship will be free from defects for a period of from the date of acceptance. Manufacturer warranties for equipment, if any, are separate and assignable in accordance with manufacturer terms.

CONFIDENTIALITY

Each party shall treat as confidential all technical, commercial and other information disclosed by the other party that is marked confidential or that reasonably should be understood to be confidential. Confidential information shall not be disclosed to third parties except as necessary to perform the Work, to comply with law, or with the disclosing party's prior written consent. This obligation shall survive termination for a period of two (2) years.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence, willful misconduct, or breach of law in connection with performance of this Agreement, except to the extent caused by the negligence or willful misconduct of the indemnitee.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties agree to attempt amicable resolution of disputes in good faith prior to initiating litigation.

NOTICES

ENTIRE AGREEMENT

This Agreement, together with any attached exhibits or executed change orders, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment shall be binding unless executed in writing by both parties.
