Recitals

Late Payment Fee: a late payment charge of per month on overdue balances, or the maximum permitted by law, whichever is less. All payments are non-refundable except as expressly set forth in this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination for cause is permitted where the breaching party fails to cure a material breach within fifteen (15) days after receipt of written notice of such breach, or immediately if the breach cannot be cured.

Confidentiality

Each party shall maintain as confidential all non-public information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is (a) already known to the receiving party without restriction; (b) publicly available other than by breach of this Agreement; (c) lawfully obtained from a third party; or (d) independently developed. The receiving party shall use Confidential Information solely to perform its obligations and shall not disclose it to third parties except as necessary to perform the installation and subject to confidentiality obligations no less protective than those set forth herein. Breach of this provision shall entitle the disclosing party to equitable relief in addition to any other remedies.

Warranties; Insurance; Compliance

Contractor warrants that services will be performed in a professional and workmanlike manner consistent with industry standards for a period of days from completion. Contractor shall maintain insurance customary to the scope of work, including general liability and workers' compensation as required by law, and shall provide certificates of insurance upon request.

Acceptance of Work

Upon completion of the installation, Contractor shall notify Client in writing. Client shall have a review period of days to inspect and either accept the work or provide written notice of defects. Failure to provide notice within the review period shall constitute acceptance.

Indemnification and Limitation of Liability

Each party agrees to indemnify and hold harmless the other party from claims arising out of its negligence or willful misconduct in performance of this Agreement. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party's aggregate liability shall exceed the total amount paid by Client to Contractor under this Agreement.

Governing Law; Dispute Resolution; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Any dispute arising out of this Agreement shall be resolved by negotiation between senior representatives, and if unresolved, shall be submitted to binding arbitration in the county in which the installation takes place, unless the parties agree otherwise in writing.

This Agreement, together with any exhibits or written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment shall be effective except in a writing signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Contractor may assign to a successor in connection with a sale of substantially all of Contractor's assets related to the services.
