INSTALLATION SERVICE CONTRACT

WHEREAS

WHEREAS, Contractor is engaged in the business of supplying, installing and commissioning equipment and systems as described herein; and

WHEREAS, Client desires to retain Contractor to perform installation services at the Project Location and Contractor agrees to perform such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement set forth the complete understanding between them regarding the work to be performed, compensation, timelines, and related obligations.

SCOPE OF WORK

Contractor shall perform the work in a professional and workmanlike manner consistent with industry standards and shall obtain and maintain any permits, inspections or third‑party approvals required for performance of the Work unless otherwise expressly stated in writing.

PAYMENT TERMS

Total Contract Amount: $

Invoicing: Contractor shall submit invoices in accordance with the Payment Schedule. Client shall pay undisputed invoices within days of invoice date. Any amounts disputed by Client must be submitted in writing with reasonable detail within the payment period.

Late Payment: Unpaid amounts shall accrue interest at the lesser of % per month or the maximum rate permitted by law, commencing the day after the payment due date. Client is also responsible for any reasonable collection costs incurred by Contractor.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and continues until Completion Date: , unless earlier terminated in accordance with this Agreement.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Termination for Convenience: Client may terminate for convenience upon providing Contractor with days written notice, in which event Client shall pay Contractor for work performed and reasonable demobilization costs to the date of termination.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose to any third party Confidential Information of the other party, and shall use such Confidential Information solely for the performance of this Agreement. "Confidential Information" means non-public business, technical or financial information disclosed in any form. Confidential Information does not include information that (a) is or becomes generally available to the public other than through a breach of this Agreement, (b) was rightfully in the receiving party's possession prior to disclosure, or (c) is independently developed without use of or reference to the disclosing party's Confidential Information.

Disclosure required by law shall be permitted only upon prior notice to the disclosing party and, if permissible, a reasonable opportunity to seek protective measures.

INSURANCE, INDEMNITY AND WARRANTIES

Insurance: Contractor shall maintain commercial general liability and workers' compensation insurance in amounts customary for the industry and shall, upon request, provide certificates of insurance evidencing such coverage.

Indemnity: Contractor shall indemnify and hold harmless Client from and against claims, damages and liabilities arising from Contractor's negligent acts or omissions in performing the Work, except to the extent caused by Client's negligence or willful misconduct.

Limited Warranty: Contractor warrants that the installation Work will be free from material defects in workmanship for a period of months from the date of completion. This warranty does not cover defects resulting from misuse, neglect, improper maintenance, or unauthorized modification.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, representations, warranties and understandings. Any modification or waiver of any provision of this Agreement must be in writing signed by both parties.
