Promise to Pay

For value received, Borrower promises to pay to the order of Lender the principal sum of $ (the "Principal"), together with interest on the unpaid Principal at an annual rate of % per annum, calculated on the basis of a 365-day year and actual days elapsed, except as otherwise provided in this Note.

Term and Repayment

The Principal and accrued interest shall be repaid in equal installments. Payments shall be due and payable on the day of each beginning on (the "First Payment Date").

If a scheduled payment is not paid within days after its due date, Borrower shall pay a late charge of . The occurrence of any of the following shall constitute an Event of Default: failure to pay any principal or interest when due and such failure continues for the period set forth above; Borrower's insolvency; appointment of a receiver for Borrower's assets; or Borrower's material breach of any covenant hereunder.

Upon Event of Default, Lender may, at its election, declare the entire unpaid Principal and accrued interest immediately due and payable and exercise any and all remedies available at law or in equity. Borrower shall be liable for reasonable costs of collection, including attorneys' fees and court costs, if permitted by applicable law.

Representations and Warranties

Lender represents that it is duly organized and authorized to make this loan and to enforce this Note.

All notices required or permitted under this Note shall be in writing and delivered personally, by certified mail (return receipt requested), or by overnight courier to the addresses set forth in this document or to such other address as either party may designate by written notice to the other.

Governing Law; Miscellaneous

This Note shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles. Borrower hereby waives presentment, demand, protest, and notice of dishonor to the extent permitted by law. If any provision of this Note is held invalid, the remainder shall remain in full force and effect.
