Interest, Fees, and Charges

Late Payment Fee: If any installment is not received within days after its due date, Buyer shall pay a late fee of or per month on the unpaid amount, whichever is greater.

Risk of Loss: Risk of loss or damage to the goods passes to Buyer upon delivery to Buyer's possession or to the carrier, whichever occurs first, unless otherwise expressly agreed in writing.

Seller represents and warrants that Seller has good and marketable title to the goods, free of all liens and encumbrances, except those disclosed in writing. Buyer represents that Buyer has the power and authority to enter into this Agreement and will comply with all payment obligations herein.

Events of Default include failure to pay any installment when due, insolvency, or breach of any material covenant. Upon default, Seller may declare the entire remaining balance immediately due and payable, repossess the goods, pursue any available remedies at law or in equity, and recover costs of collection including reasonable attorneys' fees.

Taxes, Insurance and Costs

Buyer shall be responsible for all sales, use, personal property and other taxes, registration fees, insurance, and costs related to ownership and use of the goods during the term of this Agreement, except as required by applicable law.
