Payment shall be made to the Lender at the address or account specified for notices below unless otherwise specified in writing. The Borrower is responsible for any fees or charges imposed by payment processors unless expressly assumed by the Lender.

Late Payment and Default

Late Fee: If any instalment is not paid within days after its due date, Borrower will pay a late fee of or % of the overdue instalment, whichever is greater.

Default: The Borrower shall be in default if (a) Borrower fails to pay any amount when due and such failure continues for days after written notice; (b) Borrower becomes insolvent, files a petition for bankruptcy, or has a receiver appointed; or (c) Borrower breaches any material representation, warranty or covenant in this Agreement.

Remedies: Upon default, the Lender may declare the entire outstanding Principal, accrued interest, and accrued charges immediately due and payable, pursue collection, set off amounts against any accounts, and exercise any security interests described below. Borrower shall pay the Lender's reasonable costs and attorneys' fees incurred in enforcing this Agreement to the extent permitted by law.

The Borrower represents and warrants that Borrower has the power and authority to enter into this Agreement, that all information provided to the Lender is true and complete, and that execution and performance of this Agreement will not violate any contractual or legal obligation. The Borrower covenants to promptly notify the Lender of any condition or event that materially impairs Borrower's ability to perform hereunder.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party designates in writing. Notices are effective upon receipt when delivered personally, by certified mail, or by courier.

Miscellaneous

Amendment: This Agreement may be amended only by a written instrument signed by both parties. Severability: If any provision is held invalid, the remaining provisions shall remain in full force.
