WHEREAS, Service Provider has the personnel, facilities and expertise necessary to effectuate such pickups and deliveries in conformity with Client's instructions and applicable law; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Additional items or modifications to pick instructions shall be documented in writing and signed by authorized representatives of both parties, and where immediate execution is necessary, electronic confirmation from Client shall constitute valid written instruction provided Service Provider promptly follows up in writing.

PAYMENT TERMS

Client shall pay Service Provider the Fee set forth below in consideration for performance of the Scope of Work. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Invoices are due in accordance with the Payment Schedule. If Client fails to pay any undisputed amount by the due date, Service Provider may suspend performance after providing written notice and a ten (10) day opportunity to cure.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the Notice Period following written notice specifying the breach. Client shall remain responsible for payment for all Services performed and reasonable costs incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that during the performance under this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Each party shall (a) use Confidential Information only for the purposes of performing this Agreement; (b) restrict disclosure to its employees, agents or subcontractors on a need-to-know basis who are bound by confidentiality obligations no less protective than those herein; and (c) protect Confidential Information with at least the same degree of care it applies to its own confidential information, but no less than reasonable care.

Confidential Information does not include information that is (i) publicly known through no breach of this Agreement; (ii) rightfully received from a third party without restriction; (iii) independently developed without use of the other party's Confidential Information; or (iv) required to be disclosed by law, provided the disclosing party gives prompt notice to the other party to permit a protective order or other appropriate remedy.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, excluding its conflict-of-law principles.

ENTIRE AGREEMENT

This Agreement, together with any executed attachments or appendices, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

ADDITIONAL PROVISIONS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may engage subcontractors provided Service Provider remains responsible for their performance.

Indemnification: Each party shall indemnify and hold harmless the other party from and against any third party claims arising from the indemnifying party's gross negligence or willful misconduct in performance of this Agreement.
