INSTRUCTOR AGREEMENT

This Instructor Agreement ("Agreement") is made effective as of between Organization Name: ("Organization") and Instructor Name: ("Instructor").

WHEREAS / RECITALS

WHEREAS, Organization develops and delivers educational programs and desires to engage Instructor to provide instruction, training, or related services in connection with the program titled ;

WHEREAS, Instructor represents that Instructor possesses the experience, qualifications, and licensure (if applicable) necessary to perform the services described herein and agrees to perform such services as an independent contractor in accordance with the terms of this Agreement.

WHEREAS, the parties desire to set forth the terms governing compensation, scheduling, ownership of materials, confidentiality, and other matters relating to the engagement.

SCOPE OF WORK

Instructor shall provide the services described above, prepare all instructional materials, and, where applicable, administer assessments and provide progress reports to Organization. Instructor shall perform services in a professional manner consistent with industry standards and Organization policies.

PAYMENT TERMS

Organization will pay Instructor within days of receiving a correct invoice. Invoices shall itemize dates, hours or deliverables, and any pre-approved reimbursable expenses.

Late payments shall accrue interest at a rate of on any unpaid balance, or the maximum rate permitted by applicable law, whichever is less.

TERM AND TERMINATION

The engagement under this Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate for material breach by the other party if the breaching party fails to cure the breach within 15 days of written notice.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential. Instructor shall not disclose or use Confidential Information except as necessary to perform the services. Upon termination or request, Instructor shall return or destroy Confidential Information. This obligation shall survive termination for a period of three (3) years, except with respect to trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Instructor grants Organization a perpetual, worldwide, royalty-free, transferable license to use materials created by Instructor specifically for Organization under this Agreement. Instructor represents that materials provided do not infringe third-party rights and hereby assigns to Organization all rights in works made for hire; to the extent assignment cannot be effectuated, Instructor hereby assigns all right, title, and interest to Organization.

INSURANCE, INDEMNIFICATION, AND COMPLIANCE

Instructor shall maintain appropriate insurance coverage if performing in-person services and, upon request, provide certificates evidencing coverage. Instructor shall indemnify, defend, and hold harmless Organization, its officers, agents, and employees from and against any claims, liabilities, losses, or expenses arising from Instructor's negligent acts, omissions, or willful misconduct in the performance of services under this Agreement.

Instructor shall comply with all applicable laws, regulations, and Organization policies while providing services, including applicable safety, nondiscrimination, and privacy requirements.

CANCELLATION; RESCHEDULING

If Instructor cancels within 7 days of a scheduled session without prior written agreement, Instructor shall be liable for reasonable costs incurred by Organization, including replacement instruction. If Organization cancels with fewer than 7 days' notice, Organization shall pay the Instructor a cancellation fee equal to the greater of 25% of the fee for the cancelled services or any non-refundable expenses incurred by the Instructor.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation and, if unresolved, submit to binding arbitration in the agreed venue.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the other party's prior written consent, except that Organization may assign to an affiliate or successor.
