INSULATION INSTALLATION CONTRACT

This Insulation Installation Contract (the Agreement) is entered into as of by and between Client Name: with address: and Contractor Name: with address: .

RECITALS

WHEREAS, Client desires the supply and professional installation of insulation materials at the Client's property described above; and

WHEREAS, Contractor represents that it possesses the necessary experience, licenses, equipment and insurance to perform the work in a workmanlike manner and in compliance with applicable building codes; and

WHEREAS, the parties wish to set forth the terms and conditions under which the Contractor will perform the installation and the Client will compensate the Contractor.

DEFINITIONS

"Work" means the supply, delivery, installation and finishing of insulation materials described in the Scope of Work. "Materials" means the insulation products and ancillary supplies provided by Contractor. "Site" means the Client property where the Work is performed.

SCOPE OF WORK

MATERIALS, STANDARDS AND WORKMANSHIP

Contractor shall supply Materials of the type and quality specified in the Scope of Work. All Work shall be performed in a professional manner consistent with industry standards and in compliance with applicable building codes, manufacturer instructions and safety regulations. Contractor shall repair any damage to the Site caused by the Work and shall remove construction debris upon completion.

PERMITS, INSPECTIONS AND LICENSES

Contractor is responsible for obtaining any permits required for the performance of the Work unless otherwise agreed in writing. Contractor shall maintain required licenses and carry general liability and workers' compensation insurance in amounts sufficient for the Work.

Contractor represents that it carries liability insurance.

CHANGE ORDERS

Any changes to the Scope of Work shall be made only by written Change Order signed by both parties. Change Orders shall specify adjustments to price, schedule and any other affected terms prior to implementation of the change.

PAYMENT TERMS

Client agrees to pay Contractor the Total Contract Amount as set forth below in exchange for the completed Work. Unless otherwise stated, all amounts are due in lawful currency.

Final payment shall be due upon substantial completion and acceptance of the Work by Client, subject to any retainage specified in this Agreement. Acceptance shall not relieve Contractor of its obligations to correct defective Work discovered after final payment within the warranty period.

TERM AND TERMINATION

The Work to be performed under this Agreement shall commence on and shall be substantially completed by , subject to adjustments for weather, permit delays and other excusable delays.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Upon termination, Contractor shall be entitled to payment for all Work performed to the date of termination, less setoffs for Client's damages.

CONFIDENTIALITY

The parties acknowledge that in the course of performing the Work, they may have access to confidential business information of the other party. Each party agrees to maintain the confidentiality of such information and to use it solely for performance under this Agreement, except as required by law or as necessary to enforce rights under this Agreement.

WARRANTIES

Contractor warrants that Materials will be free from defects in material and workmanship for a period of from substantial completion, except for normal wear and tear or damage caused by misuse. This warranty does not extend to manufacturer warranties, which are passed through to the Client where applicable.

INSURANCE, INDEMNITY AND LIMITATION OF LIABILITY

Contractor shall maintain insurance as required and shall indemnify and hold harmless Client from claims arising out of Contractor's negligent acts, errors or omissions to the extent permitted by law. Neither party shall be liable to the other for special, indirect or consequential damages except for claims arising from bodily injury or willful misconduct.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, strikes, government orders, or severe weather, provided the affected party gives prompt notice to the other and uses commercially reasonable efforts to mitigate the delay.

ACCEPTANCE, FINAL PAYMENT AND RETAINAGE

Final acceptance shall occur following inspection and written confirmation by Client that the Work has been completed in accordance with this Agreement. Client may retain up to of the contract price until final acceptance, unless otherwise agreed in writing.

TAXES

Unless otherwise stated, the Total Contract Amount does not include sales or other taxes. Client is responsible for payment of any taxes required by applicable law unless Contractor is required to collect such taxes.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law principles.

ENTIRE AGREEMENT

This Agreement, including any attached Change Orders or written amendments signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral.

SEVERABILITY; WAIVER

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force. The failure of either party to enforce any right shall not be deemed a waiver of that right.

NOTICES

All notices required or permitted under this Agreement must be in writing and delivered to the contact address set forth above or to such other address as either party may designate by notice in accordance with this section.
