ENGAGEMENT, SCOPE OF SERVICES

Adjuster shall provide professional adjusting services including investigation, evaluation, documentation and reporting of losses, preparation of estimates, coordination of inspections, interviews of claimants and witnesses, and assistance with subrogation and recovery where assigned. Adjuster shall not bind coverage or change policy terms on behalf of Company except as expressly authorized in writing.

Either party may terminate for convenience upon written notice to the other delivered at least days prior to termination. Company may terminate immediately for material breach, failure to maintain required insurance or licensure, or for conflict of interest not cured within a reasonable time.

ADJUSTER DUTIES, STANDARDS AND REPORTING

Adjuster shall perform services in a professional manner consistent with industry standards and in compliance with applicable laws. Adjuster shall submit an initial investigative report within calendar days of assignment and interim and final reports as required by Company policy or as specified: final report due within days after completion of on-site work. All reports shall be true, complete, and signed by the Adjuster.

AUTHORITY, SETTLEMENTS AND EXCLUSIONS

Adjuster has no authority to admit liability, bind coverage, or settle any claim except to the extent that Company provides express written settlement authority. Settlement authority limit: $ . CONFIDENTIALITY, DATA SECURITY AND PRIVACY

Adjuster shall keep confidential all non-public information obtained in the course of performing services, including claimant and insured information, and shall implement and maintain appropriate data security measures to protect such information from unauthorized access, use or disclosure. Adjuster shall comply with applicable privacy laws and Company data-handling requirements.

INSURANCE, INDEMNITY AND WARRANTIES

Adjuster shall maintain, at its expense, professional liability (errors & omissions) insurance and commercial general liability with limits not less than those set forth below and shall provide Company with evidence of such insurance upon request prior to performing work.

Adjuster shall indemnify and hold harmless Company and its affiliates, officers and employees from and against any claims, liabilities, losses or expenses arising out of Adjuster's negligent acts, omissions or willful misconduct in the performance of services.

RECORDS, AUDIT AND RETENTION

Adjuster shall maintain complete and accurate records of all services performed and shall retain such records for a period of years following final payment or termination. Company shall have the right to inspect and audit Adjuster's records relating to the services upon reasonable notice and during normal business hours.

COMPLIANCE WITH LAWS; LICENSES

Adjuster shall perform services in compliance with all applicable federal, state and local laws, regulations and licensing requirements. Adjuster shall promptly notify Company of any suspension, revocation or limitation of license or of any disciplinary action affecting Adjuster’s ability to perform under this Contract.

CONFLICTS OF INTEREST

Adjuster warrants that no conflict of interest exists that would materially impair Adjuster’s ability to perform services impartially. Adjuster shall disclose any actual or potential conflict immediately in writing.

GOVERNING LAW; MISCELLANEOUS

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. This Contract constitutes the entire agreement between the parties and may be amended only by a written instrument signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

Notices under this Contract shall be given in writing and delivered to the addresses provided below. Notice shall be effective upon receipt.
