INSURANCE AFFILIATE CONTRACT

This Insurance Affiliate Contract ("Agreement") is entered into as of Effective Date: by and between the parties set forth below.

Recitals

The Insurer engages the Affiliate to identify prospective clients, generate leads, and perform permitted marketing activities as set forth in this Agreement. The Affiliate will act as an independent contractor and will not hold itself out as an employee or agent with authority to bind the Insurer, except as expressly authorized in writing.

Appointment and Scope

The Insurer appoints the Affiliate to promote the Insurer's insurance products within the Territory: subject to the terms herein. The Affiliate is authorized to perform the following marketing activities:

Compensation

The Insurer will pay the Affiliate compensation as described below. Commission is calculated on Accepted Business only (business bound and premium received by Insurer).

The Affiliate represents and warrants that it holds all licenses required to perform the activities described and will comply with all applicable insurance laws, regulations, marketing standards and privacy laws.

Reporting, Records & Audit

The Insurer retains the right to audit Affiliate records relating to this Agreement upon five (5) business days' prior written notice.

Confidentiality & Data Protection

The Affiliate will treat all non-public information, including prospective client data, underwriting information, and policyholder data, as Confidential Information. The Affiliate shall process personal data only for the purposes of performing under this Agreement and shall implement appropriate technical and organizational measures to protect such data.

Exclusions

The Affiliate is not authorized to: bind coverage, alter policy terms, quote binding premiums, or represent coverage not expressly approved in writing by the Insurer.

Term; Termination

This Agreement commences on the Effective Date and remains in effect for a Term of unless earlier terminated in accordance with this Agreement.

Indemnification; Limitation of Liability

The Affiliate shall indemnify, defend and hold harmless the Insurer and its affiliates, officers and employees from and against all claims, liabilities, losses, costs and expenses arising out of the Affiliate's breach of this Agreement, negligent acts or willful misconduct. Except for willful misconduct or statutory liability, neither party shall be liable to the other for consequential, incidental, punitive or special damages.

Governing Law; Dispute Resolution

Disputes arising under this Agreement shall be resolved by binding arbitration in the selected governing state unless otherwise agreed in writing.

Entire Agreement: This Agreement, including all schedules and attachments executed by the parties, constitutes the entire agreement between the parties and supersedes all prior agreements. No amendment will be effective unless in writing and signed by authorized representatives of both parties.
