INSURANCE AGENCY AGREEMENT

Parties and Recitals

This Insurance Agency Agreement (the "Agreement") is made and entered into as of by and between:

Authority and Appointment

Principal hereby appoints Agent as a non-exclusive insurance producer and limited agent of Principal to solicit, negotiate and, where expressly authorized below, bind policies of insurance on behalf of Principal for the lines of business described in Schedule A. Agent accepts such appointment and agrees to perform the duties described herein.

Term and Territory

This Agreement commences on the Effective Date set forth above and remains in effect until terminated pursuant to Section titled "Termination." The Agent is authorized to transact business in the following territory:

Agent Duties and Standards

Agent shall: (a) solicit applications in a professional manner and in compliance with applicable law; (b) truthfully present Principal's policies and underwriting requirements; (c) keep accurate records of applications, premiums received and policies issued; and (d) submit all premiums to Principal in accordance with the Premium Handling provisions below.

Compensation and Commission

Principal agrees to pay Agent commissions on policies placed by Agent in accordance with the commission schedule attached as Schedule B. Commission will be earned when the policy is bound and premium is received by Principal and shall be payable within the period stated in Schedule B, subject to adjustments for cancellations, premium refunds, and unearned commissions.

Premium Handling; Trust Accounts

Agent shall hold all premiums collected on behalf of Principal in a fiduciary capacity. Agent shall not commingle insured premiums with Agent's personal or business funds. If Agent is authorized to maintain a trust account, the trust account details shall be:

Policy Issuance and Binders

Agent may issue binders only when expressly authorized in writing. All final policy forms, endorsements and cancellations authorized by Agent shall be subject to Principal's approval and shall be issued in Principal's name.

Records, Audit and Reporting

Agent shall maintain complete records of all transactions under this Agreement for a period of not less than five (5) years and shall permit Principal or its authorized representative to inspect and audit such records upon reasonable notice during normal business hours.

Confidentiality and Data Protection

Agent shall keep confidential all non-public information obtained in connection with this Agreement and shall not use such information for any purpose other than performance under this Agreement. Agent shall comply with applicable data protection requirements and shall promptly notify Principal of any unauthorized disclosure.

Termination

This Agreement may be terminated by either party upon written notice to the other party. Termination without cause requires prior written notice of days. Termination for cause may be immediate upon written notice.

Indemnification and Liability

Agent shall indemnify, defend and hold harmless Principal from any and all claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of Agent's negligence, willful misconduct or breach of this Agreement. Principal's liability for any claim arising under this Agreement shall be limited to proven direct damages and shall exclude consequential damages except to the extent required by law.

All notices required or permitted under this Agreement shall be in writing and delivered to the mailing address of the receiving party set forth above or such other address as a party designates by written notice.

This Agreement shall be governed by and construed in accordance with the laws of the State of . Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration unless the parties agree in writing otherwise.

Entire Agreement: This Agreement, together with Schedules A and B, constitutes the entire agreement between the parties. Amendments must be in writing signed by both parties. Assignment by Agent of its rights without Principal's prior written consent is prohibited.
