This Insurance Broker Agreement (the Agreement) is made between the Client named above and the Broker named above. The Broker is appointed to act as insurance intermediary on behalf of the Client to procure insurance coverage and to provide related services on the terms and conditions set forth below. The parties agree that the Broker acts as an independent contractor and not as an employee or agent with authority to bind the Client except as expressly provided in this Agreement.

Commission Adjustments/Clawback: The Broker acknowledges that commissions may be adjusted or reclaimed by the insurer and the Broker agrees to indemnify or reimburse the Client for any commission amounts that are subsequently charged back by an insurer resulting from audit adjustments, cancellations, or retroactive premium adjustments attributable to the Broker's placement or handling of the policy.

Either party may terminate this Agreement for material breach if the breach is not cured within thirty (30) days of written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment of commissions, reconciliation, and cooperation in claims handling.

The Broker represents that it has no undisclosed material conflicts of interest. The Broker shall disclose to the Client any material relationship with insurers or third parties that may reasonably be expected to influence the Broker's recommendations.

Indemnity; Insurance

Each party agrees to indemnify, defend and hold harmless the other party from and against any claims, losses, liabilities, costs or expenses (including reasonable attorneys' fees) arising from its negligent acts or omissions or willful misconduct in connection with this Agreement. The Broker shall maintain professional liability insurance and provide evidence of such coverage upon reasonable request.

Records; Audit Rights

The Broker shall maintain complete and accurate records of transactions, premium flows, and commissions for a period of not less than five (5) years. The Client or its designated representative shall have the right to audit such records upon reasonable notice and during normal business hours.

Governing Law:

The parties shall attempt in good faith to resolve disputes arising under this Agreement by negotiation. If unresolved, disputes shall be submitted to mediation and, if necessary, binding arbitration in accordance with the rules agreed by the parties.

Entire Agreement; Amendments: This Agreement constitutes the entire agreement between the parties and may be amended only by a written instrument executed by both parties. The invalidity of any provision shall not affect the remaining provisions.
