Authorization, Broker Appointment and Disclosures

The undersigned hereby appoints and authorizes the named Broker to act as the undersigned's insurance broker and representative with respect to the purchase, placement, renewal and cancellation of insurance coverages described in this document. Broker is authorized to obtain and disclose underwriting, claims and risk information as necessary to effect insurance placements and to bind coverages on the undersigned's behalf where explicit binding authority is provided in writing by the Broker.

The undersigned authorizes the Broker to receive commissions, fees or other compensation from insurers and to disclose to insurers any information required for underwriting. The undersigned acknowledges that the Broker may share application, loss, payroll and financial data with insurers and third-party administrators for the purposes of placing and servicing insurance. The undersigned consents to such disclosures and to the verification of the information provided herein.

The Broker does not guarantee the availability of terms, coverage limits or premiums, and any oral or written estimate is non-binding until a policy is issued. The undersigned agrees to timely pay premiums and any applicable fees and acknowledges that failure to pay may result in cancellation of coverage in accordance with the insurer's terms. The undersigned further agrees to notify the Broker promptly of any changes in risk, material facts, or exposures that could affect coverage or underwriting.

Except as expressly provided in a separate written agreement between the parties, the Broker shall not be liable for insurer insolvency or for any coverage determinations made by an insurer. The undersigned agrees to indemnify and hold the Broker harmless from claims arising out of the undersigned's failure to disclose material facts or to comply with policy terms unless such claims arise solely from the gross negligence or willful misconduct of the Broker.
