What an Insurance Brokers Agreement Is and when it's used

The Insurance Brokers Agreement is a written contract between a licensed insurance broker and a client, employer, managing general agent, or carrier that sets the terms for placement, commissions, and broker responsibilities. It defines scope of services (policy sourcing, placement, renewals, claims assistance), broker authority to bind or submit applications, commission rates and payment timing, confidentiality obligations, recordkeeping, and termination rights. The agreement commonly includes compliance warranties with applicable state insurance codes and data-handling provisions when protected information is exchanged, reducing disputes and clarifying each party’s ongoing obligations.

Why a formal agreement matters for brokers and clients

An Insurance Brokers Agreement clarifies responsibilities, secures commission terms, and documents authority to place coverage, reducing legal and regulatory risk while establishing dispute-resolution and post-termination processes.

Why a formal agreement matters for brokers and clients

Who typically signs and relies on this agreement

Use this agreement when licensed brokers, insurance carriers, employer groups, or risk managers need documented terms for commission, placement, and client service.

  • Independent insurance brokers — define authority, commissions, and client handoffs to avoid compensation disputes.
  • Insurance carriers and MGAs — document appointment terms, reporting requirements, and commission reconciliation procedures.
  • Corporate risk managers and employers — set broker scope, confidentiality, and claims-support expectations for benefits programs.

Confirm licensing, tax identification, appointment filings, and authority limits before execution to ensure enforceability across jurisdictions.

Core provisions to include in an Insurance Brokers Agreement

Primary provisions a professional Insurance Brokers Agreement should include to manage broker responsibilities, compensation mechanics, compliance obligations, confidentiality, and dispute resolution.

Scope

Define covered lines of insurance, markets to be canvassed, expected deliverables such as quotes and binders, client introductions, and any territorial or exclusivity limits to avoid service duplication.

Commission

Specify commission percentages or fee schedules by product line, override arrangements, payment schedule, reconciliation process, and conditions for refunds or clawbacks on cancellations.

Authority

State whether the broker has binding authority, may issue temporary binders, obtain client signatures, or submit applications, and identify actions requiring carrier pre-approval.

Term & Termination

Set the agreement term, renewal mechanics, notice periods for termination, grounds for immediate termination, and post-termination obligations relating to pending commissions.

Confidentiality

Obligate parties to protect client data, specify permitted disclosures, require secure transmission and storage, and include breach notification obligations consistent with HIPAA where applicable.

Compliance & Indemnity

Require broker licensing, accuracy representations, compliance with state insurance codes, appropriate errors and omissions insurance, and mutual indemnity provisions with defined limits.

Common mistakes to avoid when preparing the agreement

  • Using ambiguous scope language that fails to specify lines of business or territory, leading to disputes over broker responsibilities and compensation.
  • Omitting post-termination commission language, which can cause disagreement over earned but unpaid commissions after client policy renewals.
  • Failing to confirm broker licensing and carrier appointments in each state, risking invalid commissions or regulatory penalties.
  • Not including data handling and confidentiality clauses aligned with HIPAA or state privacy laws when handling protected insurance-related health information.

Potential penalties and commercial risks

Commission Loss: Forfeited unpaid commissions
Regulatory Fines: State insurance sanctions
Tax Withholding: Backup withholding (24%)
Contract Liability: Indemnity and legal costs
