Client will pay Consultant for services as follows. Fee terms are binding and payable in accordance with the schedule below.

Reimbursable expenses shall be pre-approved by Client and invoiced with supporting receipts. Client shall reimburse Consultant within days of invoicing.

Confidentiality and Data Handling

Consultant shall treat as confidential all non-public business, policy, claims and personal data received from Client and shall not disclose such information except as required by law or with Client's prior written consent. Consultant will implement reasonable administrative, technical and physical safeguards to protect such data.

Exclusions

The following services are expressly excluded from this Agreement unless separately agreed in writing: underwriting on behalf of insurers, binding coverage on behalf of an insurer, legal representation in litigation, and actuarial certification. Additional exclusions may be specified below.

Insurance, Indemnity and Liability

Consultant shall maintain professional liability (errors & omissions) insurance and general liability insurance in commercially reasonable limits during the Term. Consultant shall indemnify and hold harmless Client from third-party claims arising from Consultant's negligent acts or willful misconduct in performance of the Services.

Except for liability arising from willful misconduct or gross negligence, the aggregate liability of Consultant to Client for any claim arising out of or relating to this Agreement shall not exceed .

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if such breach is not cured within days following receipt of written notice identifying the breach.

Compliance; Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Consultant will perform services in a professional and workmanlike manner consistent with industry standards. Client represents that the information provided to Consultant is correct to the best of Client's knowledge.

Notices

All notices permitted or required under this Agreement shall be in writing and delivered to the addresses set forth below (or such other address as a party may designate in writing).

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law rules. Parties shall attempt in good faith to resolve disputes by negotiation; if unresolved, disputes shall be resolved through binding arbitration in the chosen forum specified in writing by the parties.
