What the Insurance CPA Agreement Covers

An Insurance CPA Agreement is a written engagement that defines the relationship between a certified public accountant (or accounting firm) and an insurance-related client. It sets the scope of services — tax return preparation, regulatory reporting, premium tax allocations, actuarial support, audit assistance, or forensic accounting — and records deliverables, fees, timelines, confidentiality obligations, and dispute-resolution procedures. The agreement clarifies responsibilities, limits of liability, and recordkeeping obligations for both parties and creates an auditable paper or electronic trail for compliance and professional standards.

Why a Formal Agreement Matters for Insurance Work

A clear Insurance CPA Agreement reduces scope disputes, documents fee and deliverable expectations, and supports regulatory compliance; it also permits lawful electronic execution under ESIGN (15 U.S.C. ch. 96) and UETA where adopted, preserving enforceability for interstate and intrastate transactions.

Why a Formal Agreement Matters for Insurance Work

Who Typically Prepares or Signs This Agreement

Engagements vary by size and risk; parties should confirm authority to sign and applicable regulatory constraints before execution.

  • Insurance company finance or accounting departments managing tax, statutory reporting, or audit support.
  • Independent CPA firms or outsourced accounting providers performing tax, audit, or actuarial-related services.
  • Insurance brokers, MGAs, or self-insured entities that require CPA attestations or specialized accounting work.

Representative Signers and Their Roles

Chief Financial Officer

CFO of an insurer or insured entity who approves scope, budget, and acceptance of risk allocation clauses; typically responsible for ensuring internal signatory authority and regulatory disclosures are satisfied.

Engagement Partner

Lead CPA or partner at the accounting firm who accepts the engagement, confirms professional standards and independence requirements, and signs on behalf of the firm to bind professional liability and service commitments.

Essential Information to Include

Full Legal Names: Client and firm legal names
Tax ID: EIN or SSN/TIN as applicable
Policy Numbers: Relevant insurance policy identifiers
Effective Date: Start date of engagement
Scope Summary: Short list of deliverables
Fee Terms: Billing rates and payment terms

Primary Risks If the Agreement Is Incorrect

Scope Ambiguity: Disputes over deliverables
Wrong Tax ID: Backup withholding exposure
Missing Signatures: Enforceability challenges
Noncompliance: Regulatory penalties
Insufficient Insurance: Uncovered professional liability
Data Breach: HIPAA or privacy violations

Common Preparation Mistakes to Avoid

  • Failing to define deliverables precisely, which leads to scope creep, billing disputes, and client dissatisfaction during audits or regulatory reviews.
  • Using inconsistent party names or tax identifiers; mismatched names on invoices, tax forms, or bank instructions can delay processing and trigger backup withholding.
  • Neglecting to address data security and privacy obligations, especially when handling PHI or sensitive financial records, which can create HIPAA or contractual noncompliance.
  • Skipping signature authority checks; unsigned or improperly authorized agreements may be unenforceable and complicate reliance by regulators or third parties.

Step-by-step: Completing the Insurance CPA Agreement

Follow a consistent sequence to reduce errors and preserve a compliant record: prepare, verify, sign, then distribute and retain.

  • 01
Prepare: Draft scope, fees, terms and required attachments.
  • 02
Verify: Confirm legal names, TINs, and signatory authority.
  • 03
Sign: Execute with wet or compliant electronic signatures.
  • 04
Distribute: Send copies to stakeholders and retain originals.

Where to Send or File the Executed Agreement

Route executed copies to all stakeholders and to any regulatory or recordkeeping systems specified in the engagement terms.

  • Client Records: Retain executed copy in the insurer's finance system.
  • CPA File: Firm retains master engagement file and workpapers.
  • Regulatory Filings: Submit attachments if required by state insurance regulators.
  • Third Parties: Provide copies to auditors, reinsurers, or counsel as specified.

Core Clauses Every Professional Insurance CPA Agreement Should Contain

A thorough agreement anticipates deliverables, data handling, fees, timelines, liability, and dispute resolution so both parties have clear expectations.

Scope of Services

Define tasks precisely, list excluded services, and state how changes to scope will be approved and billed to limit misunderstandings and control project scope.

Deliverables & Deadlines

Specify report formats, delivery dates, review cycles, and acceptance criteria so recipients and regulators know when work is complete and how revisions are handled.

Fees and Expenses

Detail billing rates or fixed fees, payment terms, reimbursable expenses, late-payment interest, and how additional work is estimated and approved to avoid billing disputes.

Confidentiality & Data Use

State data handling, storage, permitted disclosures, and any HIPAA or privacy protections, including whether a BAA is required for health information.

Liability & Indemnity

Allocate responsibility for errors, set liability caps if appropriate, and address professional indemnification for third-party claims or regulatory fines.

Termination & Dispute Resolution

Describe termination rights, notice periods, transition assistance, and chosen dispute resolution method (mediation, arbitration, court), plus governing law.
