The insurance afforded by this policy does not apply to loss, claim, damages, defense costs or other amounts arising out of, based upon or attributable to the following unless expressly added by endorsement: intentional criminal acts or fraudulent acts by an Insured; bodily injury, sickness, disease, or death; loss of or damage to tangible property (except as specifically covered in crime insuring agreements); statutory fines and penalties except where insurable; war or nuclear hazard; and any claim for which indemnity has been paid under any prior policy, except as stated in the Prior Acts/Continuity provision.

By checking the box below the Insured acknowledges receipt and review of the primary exclusions and understands they limit coverage absent specific endorsement.

Conditions, Notices & Cooperation

Notice of Claim or Circumstance: The Insured shall give written notice to the insurer as soon as practicable upon discovery of any circumstance that could reasonably be expected to give rise to a claim. Such notice shall include full particulars as are then known, and shall not be construed to extend coverage absent timely and adequate notice.

Cooperation and Proof: The Insured will cooperate with the insurer in the investigation, settlement and defense of any claim, and will provide proof and documentation of loss. Failure to cooperate that materially prejudices the insurer's rights may result in denial of coverage to the extent of the prejudice.

Subrogation: In the event of any payment under this policy, the insurer shall be subrogated to all the Insured's rights of recovery against any person or organization. The Insured shall execute all papers and do whatever else is necessary to secure such rights.

Allocation: For claims involving both covered and uncovered loss, defense costs and other amounts, allocation between covered and uncovered matters will be made in accordance with recognized industry practices and any applicable court decisions, and will be subject to audit by the insurer.

What the Insurance Crime & D&O Policy Form Is

The Insurance Crime & D&O Policy Form documents coverage terms for fidelity/crime exposures and directors-and-officers (D&O) liability in a single submission or coordinated package. It identifies the insured entity, policy period, limits, deductibles, covered perils (fraud, employee dishonesty, forgery, theft), and D&O coverages such as defense costs, indemnity for management decisions, and entity reimbursement. Insurers use the form to underwrite risk, set premium, and establish notice and claims procedures. Where accepted electronically, signatures and records follow ESIGN and applicable state UETA/ESRA frameworks for enforceability.

Why this Form Matters to Risk and Compliance Teams

The combined form centralizes crime and D&O details, reduces duplicate data entry, and creates a single record for underwriting, claims, and regulatory review while preserving policy terms and signatory attestations.

Why this Form Matters to Risk and Compliance Teams

Who Typically Completes the Form and Why

The form is completed by parties responsible for insurance placement, compliance, and corporate governance.

  • Insurance brokers and agents preparing submissions for underwriters and comparing quotes across carriers.
  • Corporate risk managers or CFOs documenting organizational exposures, limits, and internal controls.
  • General counsel and board representatives submitting D&O coverage details or attesting to disclosures.

Accurate completion aligns underwriting expectations with corporate governance records and supports timely claims handling.

Representative Signers and Decision-Makers

Insurance Broker

A broker assembles policy data, attachments, and prior-loss history; they coordinate signatures and routing between the insured and carriers and often certify the accuracy of presented information to underwriters.

Corporate Officer

A CFO or General Counsel signs attestation sections confirming truthfulness of disclosures, authorizes purchase of the policy, and accepts the policy terms on behalf of the entity.

Essential Sections to Review on the Form

A complete Insurance Crime & D&O Policy Form includes definitional language, monetary limits, exclusions, notice and claims procedures, and signature blocks that determine when coverage begins and how claims are reported.

Common Preparation Errors to Avoid

  • Using informal or trade names instead of the entity’s legal name causes underwriting delays and possible coverage mismatches.
  • Failing to list prior losses or late-reporting claims can trigger rescission or denial of coverage for that loss.
  • Leaving blanks in limits or deductible fields leads to ambiguity and may prevent policy issuance or delay binders.
  • Incorrect signer authority — unsigned attestations or signers without binding authority — can make issuances voidable.

Security and Compliance Features to Confirm

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Complete IP and timestamp logging
HIPAA Support: BAA available for PHI
21 CFR Part 11: Compliance options for regulated records
