Conditions and Requirements

1. The Insurer's obligation under this Excess/Umbrella Section is subject to payment of underlying policy limits and is excess over all valid and collectible underlying insurance. The Insurer will only pay sums in excess of the applicable underlying limits and subject to the terms, conditions and exclusions of this Excess/Umbrella Section.

2. It is a condition precedent to coverage that the insured shall maintain in force and not materially alter the underlying insurance without the Insurer's prior written consent. The insured shall provide proof of such underlying coverage upon request.

3. Defense and settlement will be provided as follows: The Insurer may, at its option and to the extent permitted by underlying policies, participate in the defense of any claim where exposure is reasonably likely to involve the limits of this Excess/Umbrella Section. The Insurer's participation does not increase the applicable limits.

Exclusions and Limitations

The following exclusions apply unless specifically endorsed: expected or intended injury, bodily injury or property damage arising out of asbestos, lead, mold, nuclear or war risks, pollution (unless specifically endorsed), contractual liability except to the extent the insured would have been liable in absence of such contract, and liabilities arising from professional services except if expressly included by endorsement.

Claims Reporting and Cooperation

The insured must give prompt written notice to the Insurer of any occurrence that may give rise to a claim under this Excess/Umbrella Section, and must provide all information reasonably requested by the Insurer. What the Insurance Excess Umbrella Section Covers

The Insurance Excess Umbrella Section is a supplemental policy section that extends liability coverage above the limits of underlying primary and excess policies. It describes the umbrella limit, applicable underlying insurance requirements, scope of covered exposures, exclusions, and any self-insured retention. For contractors, brokers, and certificate holders the section clarifies which policies must remain in force and identifies additional insured obligations, defense allocation, and coverage territory. Accurate completion ensures the umbrella layer triggers only after underlying limits are exhausted or as contractually specified.

Why the Excess Umbrella Section Matters

This section defines the excess umbrella’s financial backstop and contract conditions, reducing ambiguity about when umbrella limits apply. Clear terms protect insureds and certificate holders by documenting required underlying limits, aggregate limits, and lead insurer responsibilities.

Why the Excess Umbrella Section Matters

Who Typically Prepares and Relies on This Section

Each party uses the section differently: brokers confirm coverage language, legal teams confirm compliance, and certificate holders rely on it for risk transfer assurance.

  • Insurance brokers and agents who assemble and certify underlying and umbrella placements for clients and counterparties.
  • Risk managers or corporate legal teams that verify contractual coverage matches procurement or project requirements.
  • Certificate holders and contracting parties who require proof of layered liability protection before commencing work.

Core Elements to Include in a Professional Excess Umbrella Section

A complete section lists financial limits, required underlying policies, attachment points, exclusions, defense allocation, and naming conventions for additional insureds and certificate holders.

Coverage Limit

Specify the umbrella aggregate and per-occurrence limit in dollar terms, for example $5,000,000 aggregate and $5,000,000 per occurrence.

Underlying Requirements

List the minimum limits and lines of required underlying insurance (GL, Auto, Employers Liability) and the order in which they must be exhausted.

Self-Insured Retention

State any SIR or deductible applicable to umbrella triggers and whether insurer consent or claims handling changes apply when SIR is used.

Additional Insureds

Specify which entities are additional insureds, the scope of that status, and whether it applies on a primary/non-contributory basis.

Exclusions

Identify specific exclusions carried from underlying policies and any umbrella-specific exclusions such as punitive damages or contractual liability carve-outs.

Attachment Point

Define the umbrella attachment point numerically (e.g., excess applies above $1,000,000 underlying limit) and any conditions for attachment.

Required Data Fields in the Excess Umbrella Section

Insured Name: Full legal entity name
Policy Number: Carrier-issued policy ID
Effective Date: MM/DD/YYYY format
Expiry Date: MM/DD/YYYY format
Limits: Aggregate and per-occurrence
Underlying Lines: Required policies listed

Step-by-Step: Completing the Excess Umbrella Section

Follow a logical sequence to ensure accuracy and contractual compliance when preparing or reviewing the section.

  • 01
Gather Documents: Collect underlying policies and current certificates for cross-checking.
  • 02
Confirm Names: Verify legal entity names against formation or tax records.
  • 03
Enter Limits: Record umbrella and required underlying limits numerically.
  • 04
Review Terms: Check exclusions, SIRs, and additional insured language for consistency.

Configuring an Online Completion Workflow

Set up a digital workflow that enforces required fields, routing, and verification to reduce errors and accelerate issuance.

Field Configuration
Required Fields Make Insured, Policy Number, Limits mandatory
Conditional Logic Show SIR details only if SIR applies
Signer Order Route broker → insured → authorized signatory
Authentication Enable email or SMS code for signer ID

Where to Send or File the Completed Section

Identify the correct recipients and storage locations to ensure the section is accepted and easily verifiable.

  • Primary Carrier: File with the umbrella insurer for policy records
  • Broker File: Store a signed copy in broker management systems
  • Certificate Requester: Send to certificate holders or contracting parties
  • Internal Records: Retain a signed PDF in the corporate risk folder

Digital Signing and Delivery Considerations

Ensure the chosen platform preserves an unalterable audit trail and stores signed files under encryption for compliance and future verification.

  • File Formats: PDF, DOCX supported
  • Integrations: Connect to Google Drive, Box, NetSuite
  • Authentication: Email link, SMS code, or advanced 2FA

Timing and Processing Expectations

Be aware of common timeframes for issuance, renewal, and verification to avoid coverage gaps or contractual noncompliance.

Policy Renewal:

Start 30–60 days before expiration for renewals

Certificate Requests:

Allow 3–7 business days for processing

Endorsement Issuance:

Carrier turnaround varies; expect 7–21 days

Contract Deadlines:

Align certificate delivery with contract commencement

Audits and Verifications:

Plan 5–15 business days for third-party checks

Common Errors to Avoid When Preparing the Section

  • Using an assumed trade name instead of the insured’s exact legal entity causes verification failures and delays.
  • Leaving attachment points or underlying limits unspecified can create coverage disputes when claims exceed primary limits.
  • Failing to list additional insureds with exact legal names and scoped endorsements can leave contractors unprotected.
  • Neglecting to record self-insured retentions or deductibles misstates priority of payment and claims handling.

Consequences of Errors or Omissions

Coverage Denial: Claims may be denied
Contract Breach: Potential termination or liability
Financial Exposure: Owner may face uninsured losses
Regulatory Fines: State penalties possible
Reputational Risk: Partner relationships may suffer
Premium Adjustment: Insurer may increase rates
