The Insurer will not be liable for loss or damage arising from the following, unless expressly listed in an endorsement: willful misconduct or gross negligence of the Insured; war, nuclear hazard, government seizure; wear and tear, corrosion or gradual deterioration; loss caused by intentional alteration or removal of fire protection devices; failure to maintain systems in accordance with applicable codes and manufacturer recommendations.

The Insured warrants that all fire protection systems shall be installed, maintained and tested in accordance with applicable codes, standards and manufacturer's instructions. The Insured shall permit scheduled inspections by the Insurer or its authorized representative and shall provide copies of maintenance and testing records upon request.

Prompt notice of loss is required. The Insured must give written notice as soon as reasonably practicable and provide full cooperation in investigation and subrogation. The Insurer may require documentation identified below.

General Terms and Conditions

1. Term and Termination: This Contract commences on the Policy Effective Date and continues until the Policy Termination Date unless earlier terminated in accordance with the express termination provisions. The Insurer may cancel for nonpayment of premium or for material misrepresentation; the Insured may cancel by written notice to the Insurer.

2. Notice: All notices required or permitted under this Contract shall be provided in writing to the other party at the addresses set forth above and shall be effective upon receipt.

3. Subrogation: Upon payment of any claim, the Insurer is subrogated to the Insured's rights against third parties to the extent of such payment. The Insured shall execute all instruments and do whatever else is necessary to secure such rights.

4. Limitation of Liability: Except as expressly provided herein, the Insurer's liability shall be limited to the amounts set forth in this Contract. In no event shall the Insurer be liable for punitive, consequential, incidental or indirect damages.

5. Governing Law and Venue: This Contract shall be governed by and construed in accordance with the substantive laws of the jurisdiction in which the insured property is located, without regard to conflict of law principles.

6. Entire Agreement: This Contract, including any endorsements and attachments, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes prior negotiations and agreements.

7. Amendment: This Contract may be amended only by a written instrument signed by both the Insurer and the Insured.

8. Severability: If any provision of this Contract is held unenforceable, the remaining provisions shall remain in full force and effect.
