What an Insurance MGA Agreement Is and when it applies

An Insurance MGA Agreement appoints a managing general agent (MGA) to perform underwriting, policy issuance, claims handling, or premium collection on behalf of an insurer. The contract sets the scope of delegated authority, territorial limits, underwriting guidelines, reporting and audit rights, commission and fee terms, and termination remedies. Parties use this agreement to transfer specific operational responsibilities while preserving carrier oversight and regulatory compliance. Clear articulation of limits, performance metrics, and data-handling obligations reduces disputes and ensures regulators can trace decision-making and premium flows.

Why a clear MGA Agreement matters for carriers and MGAs

A professional Insurance MGA Agreement clarifies delegation, allocates risk, and documents compliance obligations. It reduces operational ambiguity, supports regulator reviews, and creates audit-ready records for premium and claims handling while protecting both insurer and MGA interests.

Why a clear MGA Agreement matters for carriers and MGAs

Who typically drafts, approves, and signs an MGA Agreement

Typical participants include insurer legal and compliance teams, MGA executives, and broker or distribution partners who coordinate placement and servicing.

  • Insurer legal and compliance teams who manage regulatory oversight and contract templates for delegated authority.
  • MGA management and operations leaders who need explicit underwriting, claims, and reporting rights.
  • Brokers and distribution partners who require clear appointment language and commission structures.

Agreements often also involve finance, actuarial, and audit functions to confirm commission flows, reserves, and reconciliation processes before execution.

Key signatory roles and their responsibilities

Underwriting Director

Typically signs to confirm delegated underwriting authority, limits, and product classes. They accept responsibility for adherence to insurer underwriting guidelines, quota and binder limits, and periodic reporting required by the contract.

MGA Managing Director

Signs on behalf of the MGA to accept operational responsibilities, premium handling rules, claims handling obligations, and indemnity clauses. Responsible for ensuring staff comply with contractual and regulatory requirements.

Step-by-step: filling and finalizing the MGA Agreement

Follow these steps to complete the agreement, obtain approvals, and produce an executed, auditable copy.

  • 01
Gather documents: Collect carrier appointment, corporate resolutions, and financial references.
  • 02
Draft terms: Populate delegation, territory, commissions, and reporting schedules.
  • 03
Internal review: Route to legal, compliance, and finance for approvals.
  • 04
Sign and store: Execute signatures and retain audit trail for regulator access.

Updating or amending an existing MGA Agreement

Amendments require the same controls as originals: documented authority, versioning, and distribution to stakeholders.

01

Initiate change:

Record reason, scope, and requested effective date.
02

Revise terms:

Edit only specified clauses; avoid silent global edits.
03

Approve amendment:

Obtain written sign-off from insurer and MGA authorized signers.
04

Document versions:

Attach prior executed agreements as exhibits for auditability.
05

Publish update:

Distribute executed amendment to all relevant teams.
06

Retain records:

Store the amendment alongside the original with access logs.

Essential elements to include in a professional MGA Agreement

A robust agreement organizes delegation, economic terms, compliance requirements, and operational processes so both parties can perform and be audited effectively.

Appointment

Name the insurer and MGA, state the appointment scope and effective date, and reference any product exhibits or manuals that govern underwriting.

Delegated Authority

Describe underwriting, binding, claims handling, and endorsement authorities with explicit limits and referral thresholds for oversized exposures.

Territory & Lines

List permitted states and specific lines of business or product classes covered by the delegation to avoid out-of-scope placement.

Compensation

Explain commission schedules, fee structures, premium handling, and payment timing, including reconciliation and adjustment mechanisms.

Reporting & Audit

Specify periodic reporting, audit rights, documentation retention, and sample access procedures for regulator or carrier reviews.

Termination & Remedies

Set notice periods, cure opportunities, post-termination run-off, premium reconciliation, and indemnity or liability allocation clauses.

Typical execution and routing workflow for an MGA Agreement

Understand the common routing so each stakeholder receives the correct version and the executed file is auditable and retained per policy.

  • Drafting: Legal drafts and operations populate the template with negotiated terms and exhibits.
  • Internal approvals: Compliance, actuarial, and finance confirm risk appetite and premium flows.
  • Execution: Authorized signers execute the agreement with recorded signatures and dates.
  • Distribution: Executed copies distributed to underwriting, claims, finance, and audit teams.

How to configure a digital signing workflow for the agreement

Configure signature fields, authentication, routing order, and retention in your chosen eSigning platform for clarity and compliance.

Field Configuration
Signature Type Electronic signature, ESIGN/UETA compliance
Authentication Email link plus optional SMS code
Routing Order Sequential: insurer → MGA → countersigners
Retention Store signed PDF plus audit trail

Practical tips to produce an accurate, enforceable MGA Agreement

Adopt these practices to reduce negotiation friction, prevent enforcement issues, and keep records audit-ready.

Draft clear authority limits
Quantify limits by dollar amount, line of business, and endorsement types. Avoid open-ended phrases that invite compliance challenges or unauthorized risk assumption.
Document operational exhibits
Attach underwriting manuals, claims guidelines, and premium remittance procedures as exhibits rather than embedding long operational text in the body of the contract.
Preserve auditability
Require electronic audit trails, access logs, and retained communications to support regulator inquiries and internal audits without depending on local copies.
Review changes regularly
Schedule periodic reviews of delegation limits and performance metrics; require formal amendments for significant scope changes to avoid implied authority.

Key deadlines, notice periods, and reporting timelines to include

Specify dates and windows to avoid disputes and trigger timely actions such as audits, remittances, or terminations.

Effective Date:

MM/DD/YYYY when the agreement becomes operative

Notice Period:

Typically 30–90 days for termination with cure rights

Reporting Frequency:

Monthly premium and underwriting reports to insurer

Premium Remittance:

Remit premiums within agreed days after receipt, often 15–30 days

Audit Request Window:

Specify notice and scheduling windows for carrier audits

Milestone timeline from negotiation to post-execution audit

A sequential milestone view clarifies responsibilities and triggers for follow-up actions after execution.

01

Negotiation Complete

Final terms agreed and exhibits prepared for signature.

02

Execution

Authorized signers sign and date the agreement.

03

Distribution

Fully executed copies distributed to stakeholders and uploaded to records.

04

First Audit

Carrier schedules initial compliance or premium reconciliation audit.

Common mistakes when preparing an Insurance MGA Agreement

  • Failing to define explicit underwriting and claims authority leads to unauthorized exposures and regulatory scrutiny.
  • Using vague territory or product language causes placement outside intended jurisdictions and complicates premium taxation and filings.
  • Not documenting premium remittance timing and reconciliation methods introduces accounting disputes and liquidity risk for the insurer.
  • Omitting audit rights, sample access, or retention obligations weakens the carrier's ability to validate compliance during examinations.

Security and compliance controls to require for digital execution

Encryption: TLS 1.2/1.3 and AES-256
Audit Trail: Comprehensive signer IP and timestamp logs
Certifications: SOC 2 Type II available
Regulatory Compliance: ESIGN and UETA adherence
Healthcare Safety: HIPAA BAA available when required

Contract Voidability: Risk of unenforceable clauses
Regulatory Fines: State insurance penalties possible
Indemnity Exposure: Costly third-party claims
Premium Misallocation: Accounting and tax disputes
