By executing this form, the Obligor expressly warrants, represents and covenants as follows:

1. Obligor is legally authorized to enter into this obligation and, if an entity, is in good standing under applicable law. Obligor will promptly notify the insurer of any change in ownership, control or material facts affecting risk.

2. Obligor shall be responsible for payment of premiums, fees and applicable taxes as agreed under the policy and this form; failure to pay when due constitutes default and may result in cancellation or suspension of coverage and collection action.

3. Obligor shall cooperate in the investigation, adjustment and defense of claims, shall not admit liability on behalf of the insured without insurer consent, and shall provide all records reasonably requested by the insurer or its representatives.

4. Obligor authorizes the insurer to obtain and exchange credit, loss history, underwriting and claim information reasonably necessary to underwrite and administer coverage and any premium financing arrangements.

I. Indemnity, Subrogation and Remedies

Obligor agrees to indemnify, defend and hold harmless the insurer and the insured for liabilities arising from Obligor's breach of this form, willful misconduct or fraudulent acts. Upon payment of any loss by the insurer, the insurer shall be subrogated to the rights of the Obligor to recover from responsible third parties; Obligor shall cooperate in such recovery and shall not impair the insurer's subrogation rights.

Remedies available to the insurer for Obligor default include, without limitation, acceleration of amounts due, setoff against recoveries, placement of a lien, referral to collections, and termination or nonrenewal of coverage.

J. Notices, Governing Law and Miscellaneous

All notices required by this form shall be in writing and delivered to the address set forth above or to such other address as a party may designate in writing. This form shall be governed by the substantive laws of the jurisdiction specified in the policy. Any dispute arising out of or relating to this form shall be subject to the dispute resolution provisions contained in the policy; if the policy is silent, the parties submit to the exclusive jurisdiction of the courts of the jurisdiction indicated in the policy.

Severability: If any provision of this form is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This form constitutes the entire agreement between the parties with respect to the Obligor's obligations and may not be amended except by a written instrument signed by Obligor and an authorized representative of the insurer.
