In the event of a loss covered by this policy, the insured must provide notice to the insurer promptly and cooperate in investigation. Failure to provide timely notice or cooperation may allow the insurer to deny coverage to the extent prejudiced by delay.

Insuring Agreement: Subject to the terms, conditions, endorsements and exclusions of this policy, the insurer shall indemnify the insured for covered losses occurring during the policy period up to the limits stated in this Declaration.

Subrogation and Recovery: To the extent of any payment under this policy, the insurer shall be subrogated to the insured's rights against any third party and the insured must execute and deliver instruments and papers and do whatever is necessary to secure such rights.

Assignment: No assignment of interest under this policy shall be valid unless approved in writing by the insurer.

Governing Law: This policy shall be governed by the laws of the state indicated in the policy declarations and interpreted consistent with those laws.
