INSURING AGREEMENT

In consideration of the premium paid and subject to all terms, conditions, limitations and exclusions of this policy, the Insurer agrees to indemnify the Insured for loss or liability arising from occurrences described in the coverages selected, up to the applicable limits set forth in this policy and any attached endorsements. The total aggregate liability under this policy shall not exceed unless otherwise expressly endorsed in writing.

CONDITIONS

Notice of Loss: The Insured shall give prompt written notice to the Insurer upon discovery of any occurrence likely to give rise to a claim. Failure to provide timely notice that prejudices the Insurer shall relieve the Insurer from liability for the portion of loss so prejudiced.

Proof of Loss and Cooperation: The Insured shall furnish proof of loss, cooperate with reasonable requests, and assist in the investigation and defense of any claim. The Insurer shall not be liable for any settlement made by the Insured without the Insurer's prior written consent when the Insurer has reserved the right to control defense.

Subrogation: To the extent the Insurer pays any loss, the Insurer shall be subrogated to all the Insured's rights of recovery against any liable third party. The Insured shall cooperate fully and execute instruments required to secure such rights.

EXCLUSIONS

This policy does not cover loss or liability caused by or resulting from: intentional acts, fraud, nuclear hazard, war or military action, wear and tear, inherent vice, pollution except as specifically endorsed, or any loss excluded by endorsement. Specific exclusions applying to selected coverages are set forth in endorsements attached hereto.

GENERAL PROVISIONS

Entire Agreement: This policy, including the declarations, schedules and endorsements, constitutes the entire agreement between the parties with respect to the subject matter hereof. No agent or representative has authority to change the terms of this policy except by written endorsement signed by an authorized representative of the Insurer.

Cancellation and Nonrenewal: This policy may be cancelled by the Insurer or the Insured as provided in the Cancellation provisions contained in this policy. Notice of cancellation or nonrenewal shall be provided in accordance with the terms of this policy.

Fraud: Any material misrepresentation or omission made by or on behalf of the Insured, whether intentional or not, that materially affects the acceptance of the risk or the hazard assumed by the Insurer shall render this policy voidable to the extent permitted by law.

Governing Law and Dispute Resolution: This policy shall be governed by the laws applicable at the Insurer's principal place of business unless otherwise required by law. Any dispute arising under this policy shall be resolved by the methods agreed in the applicable endorsement, which may include arbitration.
