Failure to comply with notice or cooperation conditions that prejudices the Insurer may result in denial of coverage.

4. Payment of Premiums and Nonpayment: Coverage shall be suspended or terminated for nonpayment of premium after notice as required by the policy. Premium adjustments for audit or endorsements may be made in accordance with policy terms.

5. Subrogation: To the extent of any payment under this policy, the Insurer shall be subrogated to all rights of recovery of the Insured against any party. The Insured shall execute and deliver instruments and papers and do whatever else is necessary to secure such rights.

6. Cancellation and Nonrenewal: This policy may be cancelled or nonrenewed in accordance with the cancellation and nonrenewal provisions set forth herein and applicable law. The Insurer shall provide written notice of cancellation or nonrenewal as required by the policy and statute.

7. Limitations of Liability: The liability of the Insurer for any loss shall not exceed the applicable limit of insurance stated in the declarations, less applicable deductibles or coinsurance unless otherwise provided by endorsement.

8. Arbitration and Dispute Resolution: Except where prohibited by statute, disputes under this policy may be resolved by binding arbitration if both parties agree in writing. Arbitration procedures and selection of arbitrators shall follow the arbitration clause contained in the policy.

9. Amendments and Endorsements: No change to this policy is effective unless made by written endorsement issued by the Insurer and signed by its authorized representative. Any endorsement altering coverage, limits or exclusions will be attached to and form part of this policy.

10. Severability: If any provision of this policy is held invalid, the remainder of the policy shall remain in full force and effect to the extent consistent with the parties' intent.
