Release Terms

In consideration of the payment recited above, Releasor, on behalf of Releasor and Releasor's heirs, executors, successors and assigns, releases and forever discharges Insurer, its parent corporations, subsidiaries, affiliates, reinsurers, agents, representatives, attorneys, adjusters and employees (collectively, Released Parties) from any and all claims, demands, causes of action, suits, liabilities, losses, damages, expenses and costs, known or unknown, absolute or contingent, whether in contract or in tort, arising out of or related to the incident described herein through the Effective Date, except as expressly reserved below.

This Release is intended to be a full and final release of all claims against the Released Parties arising from the facts and circumstances described above. Releasor acknowledges that this Release extinguishes any right to further recovery from any Released Party for the matters released herein.



Representations, Warranties and Covenants

Releasor represents and warrants that Releasor has full authority to execute this Release; that no other person or entity has an interest in the claim released herein unless disclosed; and that Releasor has not assigned, transferred, or encumbered any right to pursue or recover against the Released Parties for the matters released. Releasor further covenants not to institute any action, suit, or proceeding against any Released Party for the matters released herein.

Releasor acknowledges this Release is not an admission of liability by any Released Party and that the consideration is paid solely to compromise and settle disputed claims.

Indemnity and Subrogation

To the extent permitted by law, Releasor agrees to indemnify and hold harmless the Released Parties from any claims arising out of representations made by Releasor and agrees to execute and assign to Insurer any and all rights of subrogation or recovery against third parties as may be necessary to effectuate the intent of this Release, except where subrogation is expressly reserved above.

Severability: If any provision of this Release is held to be invalid or unenforceable, the remaining provisions shall remain effective and enforceable to the fullest extent permitted by law.
