INSURANCE PRODUCER AGREEMENT

Parties and Appointment

This Insurance Producer Agreement ("Agreement") is entered into by and between:

Insurer hereby appoints Producer, and Producer accepts appointment, to solicit applications for and to effect contracts of insurance on behalf of Insurer in accordance with the terms of this Agreement, subject to applicable law and Insurer underwriting rules.

The Producer is authorized to represent Insurer for the following lines of business and territories, subject to Insurer's underwriting guidelines, authority limits, and applicable law:

Authority and Limitations

Producer's authority is limited to solicitation, submission of applications, collection of premiums only as authorized below, and delivery of policy forms. Producer shall not bind coverage, alter policy terms, waive Insurer rights, or execute endorsements except as expressly authorized in writing.

Commissions, Premium Handling and Payments

Insurer shall pay Producer commissions on business placed by Producer in accordance with Insurer's commission schedule. Commission rates may be adjusted by Insurer with written notice.

Records, Reporting and Audit

Producer shall maintain complete and accurate records of all transactions, premiums, client communications and policy documents. Insurer reserves the right to examine Producer records upon reasonable notice. Records shall be retained for a period of not less than five (5) years or as required by applicable law.

Compliance, Licensing and Representations

Producer represents and warrants that Producer is duly licensed in all jurisdictions where authorized to act, will comply with all applicable laws, regulations and Insurer rules (including suitability and privacy obligations), and will timely disclose any disciplinary actions, insolvency, or material changes affecting Producer's ability to perform under this Agreement.

Confidentiality and Data Security

Producer shall treat all Insurer confidential information and client personal data as strictly confidential, shall use such information solely to perform this Agreement, and shall implement reasonable administrative, technical and physical safeguards to protect such information.

Indemnity and Insurance

Producer shall indemnify and hold Insurer harmless from and against all claims, losses, liabilities and expenses arising from Producer's acts, omissions, negligence or willful misconduct. Producer shall maintain errors & omissions insurance with limits of not less than:

This Agreement may be terminated by either party upon written notice to the other. Unless termination is for cause, termination shall be effective after: Termination Notice Period:

Termination for cause shall be effective immediately upon written notice. Upon termination Producer shall promptly remit to Insurer all unearned premiums, records, and documents related to Insurer policies.

Compensation Adjustment and Clawback

Insurer may adjust commission payments or recapture commissions for cancellations, non-payment of premium, return premiums, fraud or material misrepresentation. Producer agrees to repay any commission overpayment within thirty (30) days of demand.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, courier, or personal delivery.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved by the following method selected by the parties:
