The insured engages the Public Adjuster to pursue recovery under the policy. Compensation will be:

Expenses: The insured shall reimburse reasonable and documented expenses advanced by the Public Adjuster in connection with claim preparation, investigation, and negotiation (e.g., appraisal fees, engineering reports, travel). Reimbursement shall be from claim proceeds or, if none, pursuant to prior written authorization.

5. EXCLUSIONS

Public Adjuster will not perform services for claims arising from the following unless specifically listed and initialed: fraud by insured, pre-existing defects, policy underwriting disputes, defense of coverage denials unrelated to covered loss adjustment.

6. CLIENT DUTIES AND COOPERATION

Client agrees to fully cooperate with the Public Adjuster, provide complete and accurate information, preserve damaged property as required by the policy, execute authorizations necessary to obtain records and payments, and not negotiate, settle or assign claim proceeds without prior written consent of the Public Adjuster while this Agreement is in effect.

7. AUTHORITY TO ACT AND ASSIGNMENT OF PROCEEDS

Client authorizes Public Adjuster to inspect, appraise, prepare, negotiate and settle claims and to execute releases and proof of loss on behalf of Client to the extent reasonably necessary to effect recovery. Client authorizes assignment of claim proceeds and direct payment to the Public Adjuster to the extent of the fee due under this Agreement if required by applicable law or insurer procedure.

8. TERM, TERMINATION AND SURVIVAL

This Agreement commences on the Effective Date and continues until final resolution of the identified claim(s) unless earlier terminated by either party for material breach after ten (10) days' written notice. Provisions regarding fees, reimbursement of expenses, confidentiality and indemnity survive termination.

9. LICENSES, AUTHORIZATIONS AND BONDING

The Public Adjuster represents that it is duly licensed to perform public adjusting services in the jurisdiction(s) where services will be rendered. Proof of licensure and bond, if required, will be provided upon request.

10. INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other from claims arising from its own negligent acts or willful misconduct. Public Adjuster's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees actually received by the Public Adjuster under this Agreement; neither party shall be liable for consequential or punitive damages.

11. DISPUTE RESOLUTION

Parties agree to attempt good-faith negotiation, followed by non-binding mediation. If unresolved, disputes shall be submitted to binding arbitration under the chosen arbitration rules of the jurisdiction specified below. The prevailing party in any arbitration or legal action shall be entitled to recover reasonable attorneys' fees and costs.

12. NOTICES

All notices required by this Agreement shall be in writing and delivered to the addresses set forth in Section 1 or to such other address designated in writing by either party, by hand delivery, certified mail or overnight courier.

13. REPRESENTATIONS & WARRANTIES

Each party represents that it has full authority to enter this Agreement and that performance will not violate any other agreement. Client warrants that information provided to the Public Adjuster is truthful and complete to the best of Client's knowledge.

14. RECORDS AND DOCUMENTATION

Public Adjuster will maintain claim files and documentation. Client may request copies of documents generated by the Public Adjuster. Any third-party reports obtained at Client expense shall become part of the claim file.

15. CONFIDENTIALITY

Both parties shall maintain the confidentiality of proprietary information and shall not disclose confidential information except as required to effectuate the claim, to comply with law, or to enforce this Agreement.

16. MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes prior negotiations. Any amendment must be in writing and signed by both parties. If any provision is unenforceable, remaining provisions remain in effect.

Client acknowledges receipt of a copy of this Agreement and authorizes the Public Adjuster to obtain policy information, claim history and other records necessary to pursue the claim.
