INSURANCE RELEASE AND WAIVER AGREEMENT

This Insurance Release and Waiver Agreement ("Agreement") is made effective as of , by and between Releasor: whose address is (Releasor), and Releasee: whose address is (Releasee).

RECITALS

WHEREAS, Releasor submitted a claim to an insurer relating to the incident described as: occurring on under claim number and related to insurance policy number .

WHEREAS, the parties desire to fully and finally resolve and compromise all disputes, demands, causes of action and liabilities arising from or relating to the Claim and the Incident, subject to the terms and conditions set forth herein.

WHEREAS, Releasor represents that Releasor has authority to execute this release on behalf of all persons and entities with an interest in the Claim.

NOW, THEREFORE

In consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below: "Claim" means any claim, demand, suit, cause of action, liability, loss, cost or expense (including attorneys' fees and costs) asserted by or on behalf of Releasor arising out of or relating to the Incident. "Insurer" means any insurance company or surety that has issued a policy or bond covering the Incident or any claim arising therefrom. "Releasee" includes Releasee and its past and present officers, directors, employees, agents, representatives, insurers, attorneys and assigns.

2. RELEASE AND WAIVER

Releasor, on behalf of Releasor and Releasor's heirs, successors, assigns and agents, hereby fully, finally and forever releases and discharges Releasee from any and all Claims known or unknown, suspected or unsuspected, foreseen or unforeseen, which arise out of or relate in any manner to the Incident or the Claim. This release includes all claims for damages, costs, expenses, interest, attorneys' fees, loss of services and any other relief.

Releasor expressly waives any right to pursue subrogation or contribution against Releasee by any insurer or third party to the fullest extent permitted by law.

3. ASSUMPTION OF RISK AND NO ADMISSION

The parties acknowledge and agree that this Agreement is a settlement of disputed claims and is not an admission of liability by any party. Releasor acknowledges the inherent risks and uncertainties associated with the factual and legal issues underlying the Claim and assumes such risks in exchange for the consideration described above.

4. INDEMNIFICATION

Releasor shall indemnify, defend and hold harmless Releasee from and against any and all losses, claims, demands, liabilities, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of Releasor's representations, warranties or obligations under this Agreement, or from any claim by a third party asserting rights released by this Agreement.

5. INSURANCE OBLIGATIONS; WAIVER OF SUBROGATION

Releasor represents that Releasor has disclosed all insurance policies that may provide coverage for the Claim. Releasor shall cooperate with Releasee and any Insurer in obtaining any subordination, assignment or reimbursement necessary to effectuate this Agreement. Releasor hereby waives to the extent permitted by law any rights of subrogation against Releasee and its insurers related to the Claim.

6. COOPERATION; DOCUMENTATION

Releasor shall execute such further documents and take such further actions as may be reasonably required by Releasee or an Insurer to effectuate the releases, assignments and waivers set forth in this Agreement, including but not limited to executed releases, proofs of loss, and assignments of rights. Failure to cooperate shall entitle Releasee to seek specific performance or other equitable relief.

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power, authority and legal capacity to enter into and perform its obligations under this Agreement, that the person signing on its behalf is duly authorized, and that the execution and delivery of this Agreement will not violate any agreement, law, or court order binding on that party.

8. LIMITATIONS; CONTRIBUTION

Except as expressly provided herein, nothing in this Agreement shall be construed to create liability for Releasee beyond that which exists under applicable law or to expand coverage under any insurance policy. Releasor acknowledges that this Agreement extinguishes any right of Releasor to seek contribution or further recovery related to the matters released herein.

9. NOTICES

All notices, requests, consents and other communications required or permitted hereunder shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or nationally recognized overnight courier.

10. AMENDMENT; WAIVER

This Agreement may be amended or modified only by a written instrument executed by both parties. No waiver of any provision hereof shall be effective unless in writing and signed by the party against whom enforcement is sought.

11. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed so as to best effectuate the parties' intent.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflicts of law principles.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

14. COUNTERPARTS; EXECUTION

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Facsimile and electronically transmitted signatures shall be binding as originals.
