INSURANCE REPRESENTATIVE PROTECTION AGREEMENT

Recitals and Definitions

WHEREAS, the Company issues or places insurance products and desires to protect certain relationships, commissions and books of business generated by the Representative; and WHEREAS, the Representative has developed or will develop insureds, prospects and accounts for the Company; and WHEREAS, the parties desire to set forth their agreement with respect to protection of commissions, renewals and client relationships upon termination or change of affiliation.

For purposes of this Agreement, "Protected Clients" means those clients and accounts for which the Representative has solicited insurance business, procured applications, or otherwise maintained ongoing contact on behalf of the Company during the Protection Period set forth below.

Protected Clients and Client Record

The Representative shall deliver to the Company a complete list of client accounts and policyholder records created or serviced for the Company. Protected Client List Attached:

Scope of Protection

The Company agrees to protect the Representative's right to receive specified commissions, subject to the terms and exclusions in this Agreement. Protection applies to the following categories (select all that apply):






Commission Schedule and Payment

Commission rates, calculation methodology, and payment timing are established as follows. The Representative and Company agree these terms govern amounts payable for Protected Clients unless otherwise agreed in writing.

Post-Termination Protection; Termination

In the event the Representative's appointment, contract, or employment with the Company is terminated for any reason, the Representative shall retain protection for commissions from Protected Clients for the following period after termination:

Non-Solicitation and Non-Competition

For the Protection Period and for a period of following termination, the Representative shall not directly solicit Protected Clients for the purpose of offering insurance products competitive with those offered by the Company. This restriction shall apply only to clients who were actively solicited by the Representative within the 12 months immediately preceding termination.

Exclusions

Beneficiary Designation for Commissions

In the event of the Representative's death, commissions owed and payable under this Agreement shall be paid to the designated beneficiary in accordance with the Representative's written designation below:

Confidentiality, Assignment and Governing Law

The Representative acknowledges that client lists, commission schedules, business processes and other proprietary information are confidential and shall not be disclosed. Assignment of commission rights by the Representative requires the Company's prior written consent, except for a transfer to an estate beneficiary upon death.

Dispute Resolution and Indemnification

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration, unless otherwise required by law. The arbitration shall be conducted in the county specified below and in accordance with the governing law above.

The Representative agrees to indemnify and hold harmless the Company from claims arising out of the Representative's negligent or willful misconduct, misrepresentations, or breach of this Agreement.

Representations and Certifications

The Representative represents and warrants that all information provided to the Company in connection with this Agreement is true and complete, that the Representative is duly licensed and authorized to transact insurance business in the jurisdictions indicated, and that no material fact has been concealed.

All notices required or permitted hereunder shall be given in writing and delivered to the addresses set forth above or to such other address as either party may specify in writing.
