This Insurance Service Agreement (the Agreement) is entered into by and between the Agency identified above and the Client identified above. The Agency will perform insurance procurement, placement and related services described herein on the terms and conditions contained in this Agreement. The Client hereby engages the Agency and the Agency accepts the engagement subject to the terms set forth below.

Fees, Commission and Payment Terms

The Client agrees to compensate the Agency as follows. Commissions retained by the Agency are earned upon binding of coverage and are not refundable in the event of cancellation except as required by law. The Agency's fee structure and billing procedures are set forth below.

Standard exclusions and limits will be set forth in the policy documents provided by insurers. The Client acknowledges that the Agency does not underwrite policies and that coverage is governed by the insurer policy language.

Claims Handling and Duties

The Agency shall provide claims assistance as selected above. The Client shall promptly report claims or potential claims to the insurer and the Agency as set forth in policy conditions. Failure to provide timely notice may affect coverage.

Client Duties and Representations

The Client represents and warrants that all information provided to the Agency and insurers is true, complete and correct to the best of the Client's knowledge. The Client shall cooperate in the underwriting and claims processes and shall not misrepresent or conceal material facts.

Confidentiality and Records

The Agency will maintain confidentiality of nonpublic Client information and will maintain records of transactions in accordance with industry standards. The Agency may disclose information to insurers and service providers as reasonably necessary to effectuate placement and claims handling.

Term, Termination and Cancellation

This Agreement commences on the date of signature and continues until terminated by either party upon thirty (30) days written notice, or earlier where specifically provided. Termination does not affect fees earned prior to termination or any insurer cancellation provisions.

Limitation of Liability and Indemnity

Except for willful misconduct or gross negligence, the Agency's liability for any claim arising from this Agreement shall be limited to direct damages not to exceed the total fees paid to the Agency under this Agreement in the preceding twelve (12) months. The Client agrees to indemnify and hold the Agency harmless from third-party claims arising from Client's acts, omissions or misrepresentations.

Compliance

The Agency will perform services in accordance with applicable laws, professional standards and regulatory obligations. The Client shall provide all information necessary for such compliance.

All notices required under this Agreement shall be in writing and delivered to the addresses listed above or such other address as either party may designate in writing.

Declaration and Client Certification

By signing below, the Client certifies that the information provided to the Agency and insurers is true and complete and that the Client has read and understands the terms of this Agreement. The Client authorizes the Agency to obtain and disclose information necessary for policy placement and claims handling. The Client acknowledges that the Agency does not guarantee availability of coverage or the terms of any policy beyond those agreed in a binding insurer policy.
