Scope of Appointment and Authority

Insurer hereby appoints Sub-Agent to solicit applications, bind coverage subject to Insurer's binding guidelines, and perform the limited administrative and servicing duties described in this Agreement. Sub-Agent's authority shall be strictly limited to those powers expressly granted in writing by Insurer. Sub-Agent shall not alter policy terms, increase coverage, or incur obligations on behalf of Insurer except as expressly authorized in writing.

Sub-Agent shall promptly notify Insurer of incidents or claims and shall forward all documentation in Sub-Agent's possession. Sub-Agent is authorized to collect initial loss information but shall not accept or settle claims except as expressly authorized in writing by Insurer.

Sub-Agent represents and warrants that Sub-Agent is properly licensed in all jurisdictions where activities under this Agreement are conducted, maintains in force all required professional and errors & omissions insurance, and shall comply with all applicable insurance laws, regulations, and Insurer underwriting guidelines. Insurer represents that it has the authority to delegate the duties described herein.

Indemnification and Insurance

Sub-Agent agrees to indemnify, defend and hold harmless Insurer, its affiliates, officers and employees from and against any and all claims, losses, liabilities, fines and expenses (including reasonable attorneys' fees) arising out of Sub-Agent's breach of this Agreement, negligent acts or omissions, or violations of law. Sub-Agent shall maintain insurance coverage in amounts sufficient to cover its obligations under this Agreement and shall provide certificates of insurance upon request.

Termination

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any provision and fails to cure within thirty (30) days after receipt of written notice. Insurer may terminate immediately for regulatory noncompliance, fraud, or insolvency. Upon termination Sub-Agent shall cease transacting business on behalf of Insurer and shall remit any premiums, records, and unearned commissions in accordance with Insurer's written directions.

All notices required under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as either party designates in writing.

Miscellaneous Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Insurer may assign to an affiliate or successor in interest.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral.
