Conditions, Representations and Declarations

The Applicant represents and warrants that the statements and particulars contained in this proposal and any attachments are true, complete and accurate to the best of Applicant's knowledge. Applicant acknowledges that the Insurer will rely upon such information in underwriting and issuing any policy. Misrepresentation or omission of material facts may result in voidance of coverage, rescission of any policy, or denial of claims.

It is a condition precedent to coverage that Applicant maintain the required underlying policies with limits and terms acceptable to the Insurer for the duration of the umbrella policy. Failure to maintain such underlying insurance, or any cancellation thereof, shall relieve the Insurer of liability to the extent provided by the policy language.

Applicant agrees to provide prompt written notice of any occurrence or claim which may give rise to a loss under a policy that may be issued. Applicant shall cooperate fully with the Insurer in investigation, settlement, and defense of claims, and shall not admit liability or settle any claim without the Insurer's prior written consent where such consent is required by policy terms.

Defense and settlement provisions: unless otherwise agreed in writing, the Insurer's duty to defend and the allocation of defense costs will follow the terms of the issued policy. Applicant understands that endorsement language may specify whether defense costs are inside or outside the limits of liability.

Subrogation: the Insurer will be subrogated to any rights of recovery the Applicant may have against third parties to the extent of payments made under the policy, except where waiver of subrogation has been expressly agreed by endorsement.

This Proposal is an offer to provide terms and does not constitute a binder of coverage, a policy, or an acceptance by the Insurer. Coverage, limits and terms are subject to underwriting review, acceptance and issuance of a policy form and payment of the required premium.

By signing below, Applicant certifies that all information provided in this Proposal and in any attachments is true and complete. Applicant acknowledges that knowingly providing false information may constitute fraud and may result in denial of coverage or cancellation of any policy issued.

What an Insurance Umbrella Proposal Is and When It’s Used

An Insurance Umbrella Proposal is a written presentation of excess liability coverage that sits above a client’s primary policies. It summarizes proposed umbrella limits, underlying policy minimums, exclusions, premiums, and key endorsements. Producers and underwriting teams use the proposal to document client exposures, compare limit options, and obtain client authorization for binding coverage; the document can be delivered and executed electronically where permitted under ESIGN and applicable state law.

Why a Clear Proposal Matters for Risk Transfer

A well-structured Insurance Umbrella Proposal reduces ambiguity about limits and exclusions, speeds underwriting decisions, and helps clients compare options. It centralizes required underwriting data and creates an auditable record of the offer and client acceptance.

Why a Clear Proposal Matters for Risk Transfer

Who Prepares and Who Reviews an Umbrella Proposal

Insurance agents and brokers, company risk managers, and underwriting staff typically prepare and review umbrella proposals before presenting them to insureds.

  • Insurance agents and brokers who package primary and excess coverage for clients and coordinate insurer requirements.
  • Corporate risk managers and in-house counsel who evaluate coverage adequacy for enterprise exposures and contractual indemnities.
  • Underwriters and loss control specialists who verify underlying limits, endorsements, and exposure details prior to binding.

Each stakeholder uses the proposal for a different purpose: sales conversations, internal approvals, and regulatory or audit records.

Typical Signatories and Document Owners

Independent Agent

An independent insurance agent or broker who completes the proposal, assembles required underlying policy evidence, and submits it to the excess carrier for quote and binding review.

Corporate Risk Manager

A company risk manager or fleet administrator who reviews limits, confirms exposures, and signs to accept coverage terms on behalf of the named insured when authorized by corporate delegation.

Core Elements to Include in Every Insurance Umbrella Proposal

A professional proposal organizes coverage options, underwriting conditions, and pricing so reviewers can compare scenarios and make informed decisions quickly.

Coverage Summary

Concise description of what the umbrella covers versus what primary policies cover, including per-occurrence and aggregate scope, and any territory or activity limits.

Limits & Sublimits

Proposed umbrella limit options and any sublimits for high-exposure items such as professional liability, pollution, or aircraft exposures.

Premium Breakdown

Itemized premium for each limit option, included fees, and any installment or deposit terms so buyers can compare total cost of coverage.

Exclusions & Conditions

Clear listing of major exclusions, required endorsements, and conditions precedent to coverage such as minimum underlying limits and aggregate retentions.

Underwriting Requirements

Documents and evidence requested: declarations pages, loss runs, additional insured endorsements, certificates of insurance, and any inspection requirements.

Attachments & Endorsements

Space for attached schedules, sample endorsements, and producer notes that modify or clarify coverage terms presented in the proposal.

Security and Compliance Elements to Note

Encryption: TLS 1.2/1.3; AES-256 at rest
Audit Trail: Full timestamped event log
Authentication: Email, SMS, or advanced options
HIPAA/BAA: BAA available if PHI included
Retention Controls: Exportable, tamper-evident PDFs
Certifications: SOC 2 Type II; ISO 27001

Step-by-Step: Completing and Delivering an Umbrella Proposal

Follow these four steps to assemble, review, and execute the proposal efficiently.

  • 01
Collect Documents: Gather declarations, loss runs, and endorsements.
  • 02
Populate Proposal: Complete standardized fields and attach exhibits.
  • 03
Review Internally: Obtain underwriting and legal sign-off.
  • 04
Execute & Deliver: Secure signatures and provide client copies.

How Electronic Submission and Acceptance Typically Flow

Electronic workflows reduce turnaround by centralizing documents, routing for approvals, and capturing signed acceptance with an audit trail.

  • Upload Document: Attach the completed proposal and supporting files to the chosen e-delivery platform.
  • Assign Fields: Place signature, date, and checkbox fields for attestations and underwriting conditions.
  • Authenticate Signer: Use email link, SMS code, or stronger authentication when required by internal policy.
  • Capture Audit Trail: Record timestamps, IP addresses, and signer actions for compliance records.

Recommended Digital Workflow Settings for Proposals

Configure your electronic workflow to match underwriting controls and recordkeeping obligations before sending proposals for signature.

Field Configuration
Document Upload PDF/A preferred; include all exhibits and declarations.
Signer Authentication Email + SMS for clients; KBA or 2FA for high-value accounts.
Routing Order Producer → Underwriter → Client for acceptance signatures.
Retention Policy Set automatic export to secure storage after completion.

Technical and Integration Considerations

Choose a platform that supports required integrations, audit trails, and secure export formats for compliance and recordkeeping.

  • Integrations: CRM, AMS, and policy administration systems
  • File Formats: PDF, DOCX; signed PDF/A export
  • Browser & Mobile: Modern browsers; mobile-responsive signing

Ensure the vendor supports the integrations and security certifications your organization requires for underwriting and audit workflows.

Timing and Typical Deadlines to Track

Track these dates to avoid coverage gaps and to meet underwriting and client commitment windows.

Quote Expiration:

Standard 15–30 days from issuance depending on underwriting rules

Binder Effective Date:

Date coverage begins if binder is issued; must match proposal terms

Underwriting Response:

Carrier response window typically 5–10 business days for standard risks

Client Acceptance:

Client must sign before binder expiration to secure quoted terms

Premium Due Date:

Payment deadlines as stated on the proposal or binder

Key Milestones from Draft to Policy Issuance

Follow these milestones in sequence to move a proposal from draft to bound policy without delays.

01

Draft Preparation

Assemble exposures, loss runs, and underlying policy data for the proposal.

02

Internal Approval

Underwriting and legal review of terms, limits, and required endorsements.

03

Client Execution

Obtain client signature and any required attestations or payment.

04

Policy Issuance

Carrier issues binder or policy and uploads final documents to record systems.

Common Preparation Mistakes to Avoid

  • Listing incorrect underlying policy limits or expired policy dates that lead to underwriting rejection or delayed binding.
  • Omitting required endorsements or additional insured language that carriers require for umbrella attachment.
  • Using inconsistent named insured names across documents, which can cause coverage disputes at claim time.
  • Failing to state exclusions or aggregate limits clearly, producing client confusion and post-claim disputes.

Risks and Consequences of an Incorrect Proposal

Coverage Gap: Possible uninsured exposures
Claim Denial: Carrier may decline related claims
Regulatory Risk: State regulators may sanction errors
Contract Invalidity: Signature defects can impair enforceability
Premium Adjustment: Retroactive premium or audit exposure
Reputational Harm: Client trust and retention impact
