What an Insurance Warehouse Agreement Is and when it’s used

An Insurance Warehouse Agreement is a contractual arrangement that allows a lender, warehouse provider, or intermediary to hold insurance policies or policy proceeds as collateral during a financing or portfolio transaction. The agreement defines rights in held policies, conditions for release or substitution, allowed uses of proceeds, reporting obligations, and default remedies. It is commonly used in premium finance, reinsurance placements, portfolio sales, and credit-secured transactions where policies or related receivables serve as security for a loan or warehouse facility.

Why having a formal Insurance Warehouse Agreement matters

A clear Insurance Warehouse Agreement reduces ambiguity about custody, control, and payout priorities, protects lenders’ collateral interests, and sets operational procedures for premium collection, policy endorsements, and claim handling. It documents the parties’ expectations and helps avoid disputes over ownership and application of proceeds.

Why having a formal Insurance Warehouse Agreement matters

Who typically prepares and signs this agreement

Understanding each role helps allocate responsibilities for endorsements, claims notices, premium remittance, and release conditions.

  • Warehouse lender: Provides short-term financing secured by policies or premium receivables and enforces collateral rights.
  • Policy owner / borrower: Transfers custody or assigns proceeds while retaining policy administration duties.
  • Insurance broker or servicer: Manages premium collection, deposits, and reporting under agreement terms.

Typical signers and reviewers

Chief Credit Officer

Reviews collateral language and default remedies to ensure the warehouse facility is adequately secured and that release triggers protect the lender’s priority. May require legal counsel for perfection and priority analysis.

Insurance Operations Manager

Handles operational provisions, including premium collection, policy endorsements naming the warehouse lender as loss payee or mortgagee, and ongoing reporting obligations to the lender.

Core clauses found in a professional Insurance Warehouse Agreement

A robust agreement balances legal protection with operational clarity. The following components are standard and should be reviewed or customized for each transaction.

Collateral Description

Precise definition of policies, accounts, receivables, and any proceeds included as collateral, including policy numbers and insurer details when available.

Perfection and Priority

Mechanisms for establishing the lender’s security interest (assignments, endorsements, control agreements) and steps to maintain priority over other creditors.

Custody and Servicing

Operational rules for where policies are held, who collects premiums, how funds are remitted, and recordkeeping standards.

Release Conditions

Events and documentation required to release collateral, substitute collateral, or permit policy cancellations.

Default Remedies

Remedies available to the warehouse lender on borrower default, including collection of proceeds, acceleration, and liquidation procedures.

Reporting and Audit Rights

Required periodic reports, inspection/audit access, and notification timelines for material policy changes or claims.

Execution

All parties sign and any required notarizations are completed.

03

Perfection

Complete endorsements, filings, or control agreements to secure priority.

04

Servicing

Ongoing premium collection, reporting, and reserve monitoring.

Common preparation pitfalls to avoid

  • Vague collateral language that fails to list policy identifiers or classes of policies.
  • Missing endorsements that name the lender as loss payee or assignee, preventing perfection.
  • Incorrect signatory authority where the signer lacks corporate or board authorization.
  • Absent or unclear release conditions that delay substitution or return of collateral.

Consequences of an incomplete or incorrect agreement

Unperfected Security: Loss of priority against other creditors
Operational Delay: Delayed premium application and increased credit risk
Regulatory Exposure: Potential enforcement or fines where reporting or consumer disclosures are deficient
Tax Risk: Retention issues affecting IRS audits
Litigation: Disputes over ownership or proceeds
Reputational Harm: Client relationship damage from mishandled claims or collections
