RECITALS

WHEREAS, the parties are parties to a principal agreement titled Master Agreement Reference: , dated (the "Master Agreement"); and

In consideration of the mutual covenants and agreements contained herein and in the Master Agreement, the parties agree as follows:

1.1 "Annex IP" means the specific intellectual property described in Section 2 of this Annex and any Registered Rights related thereto. 1.2 "Registered Rights" means issued patents, registered designs, registered trademarks and other recorded title in any jurisdiction identified in this Annex.

8. INDEMNIFICATION

8.1 Each party shall indemnify, defend and hold harmless the other party from and against any losses, damages, liabilities and costs (including reasonable attorneys' fees) arising out of breach of the indemnifying party's representations in this Annex or any claim that Annex IP, as exploited in accordance with this Annex, infringes a third party's intellectual property rights, subject to the indemnification procedures in the Master Agreement.

9. TERM AND TERMINATION

9.1 The term of this Annex shall commence on the Effective Date and continue for years, unless earlier terminated in accordance with the Master Agreement or this Annex. 9.2 Termination of the Master Agreement shall affect this Annex as provided in the Master Agreement.

11. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

11.1 Governing Law. This Annex shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

11.2 Severability. If any provision of this Annex is held invalid or unenforceable, the remainder of this Annex shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable.

No waiver by either party of any breach of this Annex shall be a waiver of any other or subsequent breach. 12.3 Counterparts. This Annex may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. 12.4 Further Assurances. Each party shall execute and deliver such further instruments and take such further actions as may be reasonably necessary to effectuate the purposes of this Annex.
