1. Ownership. Except as expressly set forth in this Agreement, Owner retains all right, title and interest in and to Owner's pre-existing intellectual property and to all Deliverables created by Owner in the performance of the Work, including but not limited to copyrights, patentable inventions, trade secrets, know-how and moral rights ("Owner IP").

TERM AND TERMINATION

Confidential Information shall not include information that is (i) publicly known through no breach of this Agreement; (ii) rightfully received from a third party without restriction; or (iii) independently developed without use of the other party's Confidential Information.

Disclosure required by law or valid legal process is permitted only after prompt written notice to the disclosing party and to the extent reasonably necessary.

REPRESENTATIONS; INDEMNITY

Owner represents and warrants that, to Owner's knowledge, Owner has the full right and authority to grant the rights granted under this Agreement and that the Deliverables do not knowingly infringe third-party intellectual property rights. Licensee represents and warrants that it will comply with the license scope and will not use the Deliverables for unlawful purposes.

Each party shall indemnify, defend and hold the other harmless from and against any third-party claims arising out of the indemnifying party's breach of its representations, breach of confidentiality, or willful misconduct. The indemnified party shall promptly notify the indemnifying party of any claim and shall reasonably cooperate in the defense.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct, gross negligence, or a party's breach of confidentiality or indemnity obligations, neither party shall be liable to the other for consequential, incidental, or punitive damages. The aggregate liability of each party under this Agreement shall not exceed the total amounts paid or payable by Licensee under this Agreement in the twelve (12) months preceding the claim.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflict of laws principles. The parties agree to attempt to resolve disputes in good faith by negotiation prior to initiating any litigation.

MISCELLANEOUS; ENTIRE AGREEMENT

This Agreement, together with all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they have had the opportunity to seek independent legal advice prior to execution.

What an Intellectual Property Rights Agreement Is

An Intellectual Property Rights Agreement is a written contract that defines ownership, assignment, licensing, and permitted use of intellectual property created or exchanged between parties. Typical items addressed include copyright, patent rights, trade secrets, moral rights, and any transfer or license mechanics. The agreement may allocate who retains title, how royalties or consideration are calculated, obligations to register or record assignments, confidentiality duties, and remedies for infringement or breach. Parties use this document to reduce uncertainty, ensure enforceable transfer language, and document the scope and duration of permitted uses.

Why a Clear IP Rights Agreement Matters

A well‑drafted IP Rights Agreement clarifies ownership and use rights, reduces litigation risk, preserves value in intangible assets, and supports enforcement or commercial licensing. It also enables consistent recordkeeping for tax, compliance, and investor review.

Why a Clear IP Rights Agreement Matters

Who Typically Prepares and Signs This Agreement

The agreement is used by creators, businesses, and advisers to allocate IP ownership and permissions before or during commercialization.

  • Independent creators and contractors who assign or license work-for-hire rights to a business or client.
  • Startups and technology companies that need clear assignment of code, designs, and proprietary processes.
  • Legal and licensing teams that manage third-party use, commercialization, or joint development arrangements.

Use clear signatory authority and, when needed, counsel review to ensure assignments, licenses, and payment terms meet transactional and statutory requirements.

Step-by-step: Completing the Agreement

Follow these sequential steps to prepare, agree, and execute a clear IP Rights Agreement with minimal rework.

  • 01
Draft: Populate parties, IP descriptions, and key terms.
  • 02
Review: Have legal counsel verify assignment and license language.
  • 03
Approve: Obtain internal approvals from authorized signatories.
  • 04
Execute: Sign, notarize if required, and distribute executed copies.

How Electronic Completion Typically Works

An electronic workflow can speed execution while preserving legal evidence of intent and consent under U.S. statutes.

  • Upload Document: Place signature and initial fields on the agreement.
  • Add Signers: Specify signer emails and any signing order.
  • Authenticate: Choose email, SMS, or stronger methods as required.
  • Finalize: Signed PDF and audit trail are retained automatically.

Core Clauses to Include in a Professional Agreement

A complete IP Rights Agreement addresses allocation of rights, scope of permitted use, consideration, warranties, and enforcement terms to reduce later disputes.

Definitions

Define all key terms such as 'Work', 'Deliverables', 'Confidential Information', 'Assignment', and 'License' to eliminate ambiguity and interpretive risk.

Grant or Assignment

State whether rights are assigned, licensed, or retained; specify whether transfer includes future or derivative works and any territorial or field limitations.

Consideration

Describe payment, royalties, equity, or other consideration, including timing, tax treatment, and reporting obligations for each party.

Representations

Include warranties that the assignor owns the rights, that there are no encumbrances, and that third-party rights will not interfere with exploitation.

Confidentiality

Specify handling, use restrictions, and duration for trade secrets and other non-public information tied to the IP.

Remedies

Detail injunctive relief rights, indemnities, and limitations of liability for infringement, breach, or negligent disclosure of IP.

Common Preparation Errors to Avoid

  • Using vague scope language that fails to define what rights are being transferred or licensed, creating scope disputes later.
  • Mismatching party names or titles between the agreement and supporting corporate records, delaying recordation and enforcement.
  • Failing to specify whether future inventions or derivative works are included in assignments, leading to ownership claims.
  • Skipping notarization or witnessing steps where state or counterparty requirements make them necessary for recordation or enforcement.

Key Legal Risks and Consequences of Errors

Invalid Assignment: Ambiguous language may permit the transfer to be challenged
Loss of Rights: Improperly reserved rights can limit commercialization options
Tax Exposure: Incorrect consideration reporting may trigger IRS inquiries
Breach Damages: Monetary liability and injunctive remedies for infringement
Recording Refusal: Agreements not meeting jurisdiction rules may be refused for recordation
Confidentiality Breach: Trade secret loss and statutory penalties
