INTERIOR DESIGN AGREEMENT IN REAL ESTATE

This Interior Design Agreement ("Agreement") is entered into between Client Name: and Designer Name: . The Client and Designer are each a "Party" and together the "Parties."

Scope of Services

Designer shall provide interior design services for the Project including schematic design, construction documents, procurement of specified materials and furnishings, coordination with installers and subcontractors, and on-site observation as set forth in the Schedule of Services below. Late payment will incur interest at the lesser of 1.5% per month or the maximum permitted by law and Client will be responsible for reasonable collection costs and attorney fees.

Client Responsibilities

Client shall provide timely decisions, access to the Property, and any information reasonably necessary for performance. Client shall secure approvals required by property owner or homeowner association if Client is not the property owner.

Permits, Subcontractors and Third Parties

Designer may engage subcontractors and vendors as necessary. Designer is authorized to act as Client's agent solely for procurement and coordination as specified herein. Client is responsible for permits unless otherwise agreed in writing.

Warranties; Limitation of Liability

Designer warrants that services will be performed in a professional manner consistent with industry standards. Designer makes no warranties as to the merchantability or fitness of third-party materials. Designer's liability for any claim arising out of this Agreement shall be limited to direct damages not to exceed the total compensation paid to Designer under this Agreement. In no event shall Designer be liable for consequential, incidental, or punitive damages.

Termination; Default; Remedies

Either Party may terminate this Agreement upon material breach by the other Party if the breach remains uncured after ten (10) days' written notice. Upon termination, Client shall pay Designer for all services performed and expenses incurred through the date of termination. Remedies are cumulative and do not preclude equitable relief.

Indemnification

Each Party shall indemnify, defend and hold harmless the other Party from third‑party claims arising from that Party's negligent acts or willful misconduct, except to the extent caused by the indemnified Party's negligence or breach of this Agreement.

Ownership of Documents

Designer retains copyright and ownership of all design concepts, drawings and specifications furnished until Designer receives full payment for services. Upon full payment, Client receives a limited license to use the final deliverables for the Project only. Reuse for other projects requires Designer's prior written consent.

Confidentiality

Each Party shall keep confidential all proprietary information of the other Party and shall not disclose such information except as required by law or with prior written consent.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of: . This Agreement constitutes the entire agreement between the Parties and supersedes prior negotiations and agreements.
