RECITALS

WHEREAS, Client desires to obtain interior design services and furnishings for the premises described in the Scope of Work below; and

WHEREAS, Designer is engaged in the business of providing interior design, procurement and project coordination services and represents that Designer has the experience and expertise to perform the services described herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, Client and Designer agree as follows:

SCOPE OF WORK

Designer will provide interior design services, project documentation, selection and procurement of specified furnishings, coordination with suppliers, and reasonable delivery and installation oversight as described below. Specific tasks, spaces, and deliverables are set forth in the Scope of Work field.

PAYMENT TERMS

Unless otherwise agreed in writing, Client shall pay Designer as follows:

Late payments shall incur a late fee of on the unpaid balance, compounded monthly, and Designer may suspend performance until past due amounts are paid. Client will also be responsible for reasonable collection costs and attorneys' fees incurred to collect overdue sums.

TERM AND TERMINATION

This Quote is effective as of Start Date: and shall remain in effect until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Quote for convenience upon providing written notice no fewer than days prior to the effective termination date. Termination for cause may occur immediately upon material breach by the other party if such breach remains uncured for ten (10) days after written notice.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may obtain Confidential Information of the other party. "Confidential Information" means nonpublic business, technical, financial or design information disclosed in any form. Each party agrees to hold the other's Confidential Information in confidence, to use it solely for performance under this Quote, and not to disclose it to third parties except to employees, contractors or agents who have a need to know and who are subject to obligations of confidentiality no less protective than those set forth herein.

Confidential Information does not include information that (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known by the receiving party prior to disclosure; (c) is rightfully received from a third party without obligation of confidentiality; or (d) is independently developed without use of the disclosing party's Confidential Information. The obligations under this section shall survive termination or expiration of this Quote for a period of three (3) years.

GOVERNING LAW

This Quote shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. Venue for any dispute arising out of or relating to this Quote shall be the state or federal courts located in the county where Designer's principal place of business is located, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This document, including any attachments and accepted change orders, constitutes the entire agreement between Client and Designer with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No modification of this Quote shall be effective unless in writing and signed by both parties.

ACCEPTANCE

By signing below, Client accepts this Quote and authorizes Designer to proceed with the Scope of Work in accordance with the terms set forth herein. Acceptance constitutes an agreement to pay Designer in accordance with the Payment Terms set forth above.
